Langan is seeking a Corporate Counsel to join its collaborative Legal team. This individual will serve a key role in for providing legal counsel on and managing a broad range of corporate governance, compliance, and M&A matters. In this role, you will have the opportunity to advise senior management firm-wide on corporate matters, strategies, and implementation.
Responsibilities:
- Provide counsel on corporate governance matters to senior management and Board of Directors. Responsible for interpreting, managing, implementing, drafting, and revising/updating full suite of corporate governance documents (i.e., bylaws, operating agreements, shareholders agreements, resolutions);
- Provide counsel on M&A and other commercial transactions. Collaborate with M&A team on deal structure and LOI terms, planning and assisting in due diligence, drafting and negotiating deal agreements, and actively managing deal process, diligence, integration, and execution;
- Draft, review, and negotiate transactional documents, including purchase/sale agreements, merger, partnership/LLC/shareholder agreements, investment agreements, framework agreements, secondment agreements, management services agreements, inter-company agreements, confidentiality agreements, side letters, engagement letters, letters of intent, indications of interest, bid letters, and term sheets;
- Manage professional licensing function for various design disciplines, including, but not limited to, legal research, entity formation, corporate registrations, ownership structuring, and corporate document drafting;
- Assist with development and implementation of corporate policies including, without limitation, data privacy;
- Review and negotiate professional services agreements and other commercial contracts;
- Remain current on external governance trends, general legal issues and best practices; provide proactive updates to legal team and management;
- Assist with management of company’s insurance and risk programs;
- Manage corporate structure, risk and compliance matters related to international operations; and
- Perform other duties as required.
Qualifications:
- Juris Doctor degree;
- Current license to practice law
- 7+ years of relevant experience; prior experience with design professional entities in the A/E/C industry preferred;

- Proficient in Microsoft Word, Excel, and PowerPoint; and
- Ability to travel to travel regularly to corporate headquarters.
