About the role

The successful candidate will be commercially minded and pragmatic, with a strong understanding of how market conditions affect treaty and direct (specialty) insurance activities, procedures, and wordings. They must be able to clearly and succinctly communicate legal issues to underwriters and management, assess risks associated with (re)insurance activities, and develop commercially viable risk mitigation strategies while ensuring regulatory compliance.

They will also be enthusiastic about supporting the global activities of the P&C Business Unit and contributing to the broader Legal and Compliance functions as time and experience permit.

This position reports directly to the P&C Americas Chief Legal Counsel and will work closely with the Canada Chief Compliance Officer and other legal colleagues within the P&C group.

  • Provide legal support and guidance to ensure proper governance and compliance with applicable laws, regulations, and internal policies relevant to the U.S. P&C & Life Boards and Committees.
  • Support all aspects of Board and Committee meetings, working collaboratively with the Corporate Secretary to address legal requirements requiring board action. This includes designing agendas in line with regulatory requirements and management direction, overseeing and assisting with the preparation, collection, and distribution of meeting materials, attending all meetings, and drafting and reviewing meeting minutes.
  • Maintain accurate corporate records across all required systems. Manage and certify, via legally required secretary certificates, the production of corporate governance records for regulatory examinations, audits, or other initiatives. Draft and review legal documents, including annual or quarterly reviews, modifications to corporate documentation, and required filings.
  • Deliver timely, practical, and balanced legal advice to support prudent risk management, with a primary focus on assisting the P&C Americas Chief Legal Counsel and the Canada Chief Compliance Officer on U.S. and Canadian regulatory matters. Specifically:
    • Monitor and analyze the compliance and regulatory landscape, advising stakeholders on developments impacting their business areas.
    • Participate in key regulatory submissions, including annual filings related to Enterprise Risk, Holding Company Act compliance, and corporate governance, as well as other regulatory reporting.
    • Advise on regulatory inquiries, information requests, and examinations, including interviews, onsite inspections, and related remediation efforts.
    • Provide periodic updates to senior management on emerging regulatory obligations and the status of the compliance program.
  • As capacity allows, provide legal guidance and support on P&C transactional and underwriting matters, including detailed contract wording review, editing, and the development of preferred SCOR P&C contract language for the Americas.
  • Providing timely, succinct, practical and commercial advice across all topics.
  • Support the U.S. P&C & Life Corporate Secretary in all aspects of Board and Committee meetings, including addressing legal requirements requiring board action, design agendas considering regulatory requirements and management’s direction, oversee and assist with the preparation, collection and distribution of meeting materials, attend all meetings and conduct legal and governance requirements at meeting, draft, and review meeting minutes.
  • Monitor and advise on regulatory developments and trends that may impact the company’s operations. Serve as a liaison to business and/or functional departments in connection with regulatory engagements including filings, regulatory examinations, meetings and other interactions.
  • Once established in their role, there is an opportunity for a strong performer to work on transversal and cross-regional projects and to expand their knowledge on matters unrelated to their primary practice and to take on additional responsibilities if bandwidth allows – the P&C Legal team is small providing the opportunity to participate in providing legal support for a wide range of matters (outside of “day-to-day” responsibilities).
  • J.D. from an accredited law school or international equivalent. 
  • Licensed to practice and a member in good standing/the ability to immediately reactivate membership in at least one US state.
  • This role is made for somebody with strong corporate governance and regulatory background and who is capable of operating autonomously, with guidance from their peers, and is excited about working directly with the business and driving legal issues to completion.
