Role Summary:

We are looking for a super sharp, highly-motivated, hard-working business-minded attorney with tech transactional or data experience to join our commercial legal team. This job will involve interfacing with our commercial team to provide creative, proactive and pragmatic legal guidance and white-glove deal support.  We are looking for someone who thrives in a fast-paced, deadline-driven environment, with the ability to capture complex legal and business concepts in a clear, concise, and easy-to-understand manner.  

Key Responsibilities:

  • Negotiate and draft a wide variety of commercial agreements including terms of service agreements, data processing agreements, services schedules, and other bespoke commercial agreements; 
  • Align with Data Ethics team to provide tangible advice to commercial stakeholders on data privacy issues arising in commercial transactions; 
  • Collaborate cross-functionally with internal stakeholders to drive transactions to close; 
  • Support the continuous improvement of standard form contracts and legal processes;

Key Requirements:

  • An individual with a JD degree and admission to at least one state bar is required to fulfill this position.
  • A minimum of 5+ years of legal experience in commercial contracting is required, which can be obtained through working at an in-house legal department (experience in a SaaS, data, or similar technology company is an added advantage) or handling similar matters at a law firm is required.
  • The ideal candidate is required to possess self-motivation, quick-learning abilities, proactiveness, and an eagerness to explore the business and technology domains.
  • The candidate should be comfortable with ambiguity, multi-tasking, hard work, and independence to excel in this position is required.
  • Excellent communication skills, both internally and externally, are mandatory for the candidate to be considered for this role is required.
  • Strong analytical and problem-solving abilities are required to perform well in this position.
  • The candidate should have a customer service mindset and prioritize the customer's needs and requirements is required.
  • A sense of humor and a positive attitude are required to maintain a healthy work environment and foster positive relationships is required.
  • The candidate should have grit and resilience to handle challenging situations and persevere through obstacles is required.

Bonus Points:

  • Prior in-house legal experience is required, preferably with a technology or software company. The candidate should have hands-on experience in managing legal matters, including drafting and negotiating contracts, managing litigation, and providing legal guidance to business teams.
  • Expertise in any of the following areas is required: AdTech/MarTech, Data, Tech Transactions, Open Source Licensing. The candidate should have a deep understanding of the relevant laws, regulations, and industry standards in their chosen area of expertise. They should have experience advising business teams on legal matters related to their area of expertise, drafting and negotiating contracts, and managing legal risks.
