Job Summary
The Mergers and Acquisitions Group within the Corporate Law Department handles all transactional matters for Comcast Corporation and its subsidiaries, including Comcast Cable, NBCUniversal and Sky. The primary focus of this position is to provide legal support to the company for mergers, acquisitions, joint ventures, investments, divestitures and complex commercial arrangements. The attorney will primarily support the Corporate Development Department and will also work directly with various business units and their dedicated attorneys. The attorney must be able to handle transactions of varying size and nature with little supervision or outside counsel assistance and be willing to work as part of a team with more senior in-house attorneys to handle larger and more complex transactions.Additional general duties: Responsible for providing legal support and knowledge of a legal specialty for non-routine matters affecting one or more of the business units and/or corporate headquarters. Provides advice and recommendation on complex issues that have or may have a significant impact on business activities and operations. Operates with minimal supervision and regarded as a subject matter expert. Researches legal principles and precedents. Supervises outside counsel on non-routine matters within the scope of subject matter expertise.
Job Description
CORE RESPONSIBILITIES
Substantial experience in mergers, acquisitions, investments, divestitures and other strategic transactions; joint venture and international experience a strong plus.
Understanding of the following a strong plus:
Media, entertainment, broadband and video-content businesses (including streaming).
Antitrust, securities and foreign investment regulations.
Intellectual property law relating to media and technology.
Excellent drafting and contract-negotiation skills.
Excellent communications and problem-solving skills.
Ability to work effectively with all levels of management, manage multiple projects and meet deadlines with consistently high-quality work product.
Ability to formulate creative solutions to accomplish the company’s objectives.
Provides legal counsel in a particular subject area of expertise and/or to a specific business unit or units. Dispenses legal knowledge and expertise impacting business operations. Works closely with executives and management.
Performs legal research when and as necessary to resolve legal issues and determine the appropriate course of action regarding a particular issue/case. Consults with and supervises outside counsel to develop legal strategies and resolve issues in non-routine matters.
Operates with minimal supervision and coordinates legal functions with other departments affected by the matter/issue.
Provides mentorship and guidance to junior-level attorneys and may have direct management responsibilities for non-attorney legal specialists.
Consistent exercise of sound and independent judgment and discretion in all matters.
Regular, consistent and punctual attendance. Must be able to work nights and weekends, variable schedule(s) and overtime as necessary.
