The Challenge

Reporting directly to the Company's Director, Corporate Counsel, you will be responsible for a broad array of corporate, governance and transactional legal matters. Strong technical, advisory, and project management skills, along with excellent business judgment and the ability to effectively partner and collaborate with business groups throughout OneTrust, will be among the more important keys to your success. The issues you will have to address will require real-time analysis and practical advice. You must be able to work under significant pressure and maintain a sense of patience, camaraderie, and respect. You will work closely with the members of OneTrust's finance, tax and legal teams worldwide.

Your Mission

  • Provide practical legal advice on corporate law, corporate governance, equity and transactional legal matters
  • Manage day-to-day maintenance of U.S. and international subsidiaries, including state registrations and filings, business licenses and managing annual compliance with tax and accounting departments, outside counsel and service providers
  • Manage complex governance projects such as international entity formations, dissolutions and mergers
  • Support OneTrust’s current subsidiaries and global expansion efforts, including advising on board matters, regulatory and local law requirements, and inter-company agreements
  • Support corporate governance processes, including preparation of board materials and organization and maintenance of corporate records and calendars
  • Assist with or manage M&A, financings and other strategic transactions
  • Maintain legal entity database, including accurate entity information regarding OneTrust’s subsidiaries
  • Work with other members of the OneTrust legal team to drive progress on cross-functional projects, while looking for opportunities to improve processes to help the company scale
  • Assist with implementing and maintaining compliance related policies and processes, including supporting policy trainings

You Have

  • 5-8+ years of general corporate legal experience gained at both law firms and in-house, with subject matter expertise in governance, finance, and equity
  • Membership in good standing with a U.S. state bar
  • A good sense of humor (we take our work—but not ourselves—very seriously)
  • Well-rounded legal expertise in multiple corporate areas, including governance, procedures and policies, and strategic investments
  • Experience in a fast-paced company, providing accurate guidance and pragmatic solutions
  • Excellent project management skills
  • Strong understanding of accounting and corporate finance principles
  • Familiarity with:
    • Entity management systems (CSC, Diligent Entities, GEMS or similar)
    • Electronic board portals (Boardvantage, Diligent or similar)
    • Electronic document filing and maintenance

For California, Colorado, Connecticut, Nevada, New York, Rhode Island, and Washington-based candidates: the annual base pay range for this role is listed below. Within this range, individual pay is determined by several factors, including location, job-related skills, work experience, and relevant education and/or training. This role may also be eligible for discretionary bonuses, equity, and/or commissions, as well as benefits.
