Who You Are:

As our Corporate Counsel, you will join an experienced and collaborative Legal team to work on capital markets, corporate governance and general corporate matters. You’ll work alongside and report into our Deputy General Counsel and have the opportunity to work on a myriad of legal issues and room for growth beyond current scope of role.  The ideal hire should have a few years of experience at a large law firm advising clients on a variety of corporate legal matters including capital markets and corporate governance. This position is based in New York. Paid relocation is not available for this position.

What You’ll Do:

  • Disclosure and Reporting
    • Assist in preparation of securities filings including annual and quarterly reports, proxy statements, press and earnings releases and analysis of securities law obligations and listing requirements
    • Review of external communications including research, marketing materials and investor presentations
    • Continue to enhance and monitor policies and procedures and monitor evolving landscape of regulatory disclosure requirements
  • Financing
    • Provide legal advice on a variety of public and private capital markets transactions and associated legal documentation
  • Governance and general corporate
    • Develop and review corporate governance materials, including resolutions, minutes and other materials for meetings of the board, committees and management committees.
    • Providing legal advice with respect to public company corporate governance matters and corporate governance documents
  • Equity Compensation and Employment Law
    • Assist Head of Legal Employment, Compensation and Benefits on various legal matters including questions with respect to equity plans and employment law.
  • Other
    • Such other activities as may be assigned by the Deputy General Counsel and corporate legal team (M&A Counsel and Employment Counsel).

What We’re Looking For:

  • The ideal candidate will be highly organized, have meticulous attention to detail and a demonstrated ability to produce high quality work product in a fast-paced, high-volume environment.
  • At least 3 years of general corporate experience, specializing in securities law and corporate governance with public companies
  • Ability to work well in fast-paced business and evolving legal environment and to manage multiple projects simultaneously
  • Highly motivated, self-starter who takes initiative
  • A high level of professionalism and outstanding business judgment
  • Excellent written and oral communication skills
  • Positive attitude, and willingness to roll up sleeves (no job too big, no job too small
