Position Overview

We're seeking an experienced Corporate Attorney to join our team on a contract basis. The role focuses on providing comprehensive corporate legal support for growing companies while also handling sophisticated transactions such as equity buyouts, financings, acquisitions, and joint ventures.

Key Responsibilities

General Corporate:

• Draft and review foundational corporate documents

• Manage corporate governance matters

• Handle equity issuances and transfers

• Handle foreign qualification filings

Corporate Transactions:

• Structure and execute equity buyouts

• Lead financing transactions

• Handle acquisitions and divestitures

• Negotiate joint venture agreements

Requirements

• Juris Doctor (JD) from an accredited law school

• Active attorney license in good standing

• 5+ years of corporate law experience

• BigLaw training/experience strongly preferred

• Experience advising growth-stage companies

• Experience with corporate transactions and restructurings
