OVERVIEW:

The Vice President, Legal & Corporate Affairs will serve as RxSight’s General Counsel and lead all legal, governance, and compliance functions, including corporate governance, commercial contracting, employment law, intellectual property, and risk management. This executive will act as a strategic partner to the CEO, CFO, and executive team, advising on legal implications of business activities and overseeing compliance in a publicly traded, highly regulated MedTech environment.

This role ensures RxSight’s legal infrastructure supports responsible growth, regulatory compliance, and operational execution at scale.

Requirements

ESSENTIAL DUTIES AND RESPONSIBILITIES:

Corporate Governance & Public Company Compliance

  • Serve as Corporate Secretary and lead all board governance activities, including board meeting preparation, minutes, resolutions, and committee coordination.
  • Provide legal review and support for public disclosures, investor communications, earnings materials, and analyst engagement.

Legal Affairs & Risk Management

  • Lead and manage all aspects of corporate legal matters, including commercial contracts, employment law, privacy, and product liability.
  • Identify, mitigate, and respond to legal risks across clinical, commercial, R&D and other functions.
  • Manage relationships with external counsel and legal vendors.
  • Represent the company in litigation, mediation, arbitration, and other dispute resolution proceedings. 
  • Oversee insurance programs and enterprise risk management policies.

Strategic Business Partnership

  • Serve as a trusted legal advisor to the CEO, CFO, and executive team.
  • Participate in strategic initiatives including M&A, strategic partnerships, licensing, and regulatory affairs.
  • Draft and negotiate high-impact commercial agreements including supply, distribution, and clinical research agreements.
  • Advise on IP and trademark matters in coordination with R&D and marketing teams.

Compliance & Ethics

  • Ensure the company maintains robust corporate compliance policies including insider trading, code of conduct, and anti-bribery/FCPA.
  • Lead annual training and certification processes for employees and board members.
  • Oversee whistleblower, investigations, and internal escalation frameworks in partnership with the CFO and Audit Committee.

REQUIRED KNOWLEDGE, SKILLS AND ABILITIES:

  • Deep knowledge of corporate governance and legal operations within a public company.
  • Experience as the senior-most legal officer or deputy GC at a public company, preferably in MedTech, biotech, or life sciences.
  • Business-oriented legal thinker with the ability to balance legal risk and operational reality.
  • High integrity and judgment; able to work independently and build trust with board, execs, and operators.
  • Strong communication and drafting skills; able to simplify complexity and guide decisions.

SUPERVISORY RESPONSIBILITIES:

  • This position will lead the Legal & Compliance functions and supervise in-house counsel and corporate compliance staff.

EDUCATION, EXPERIENCE, and TRAINING:

  • JD from an accredited law school and active bar membership (California preferred).
  • 12–15+ years of progressive legal experience, including general counsel or deputy GC-level leadership.
  • Proven track record partnering cross-functionally with Finance, HR, Commercial, and R&D.
  • Prior experience managing outside counsel and building internal legal infrastructure.
  • Training to be completed per the training plan for this position as maintained in the document control system
  • The training requirements on TRN-10007 Insider Trading Policy, TRN-10008 Global Anti-Bribery and Anti-Corruption Policy and TRN-10009 Code of Business Conducts and Ethics must be diligently completed within 30 days from the hiring date and on an annual basis

CERTIFICATES, LICENSES, REGISTRATIONS:

  • Active membership in good standing with a U.S. state bar (California bar preferred).
  • Governance or compliance certifications (e.g., NACD, CCEP, CGEIT) a plus but not required.
