Job Description
Primary Function of Position:
The Senior Contract Negotiator drives commercial contract work at Intuitive. They communicate with sales, management, other departments, and customers for compliance and risk management. The negotiator handles legal tasks and ensures contract processing with high professionalism under pressure.
They also act as a legal professional in project initiatives and mentor junior team members for department and team growth.
Responsibilities:
- Contract Drafting and Negotiation-Prepare, review, and negotiate contracts, including sales and leases. Manage legal agreements for Intuitive's products and services. Manage digital, data, and privacy agreements. Support HIPAA-required Business Associate Agreements.
- Dispute Resolution- Help resolve contract disputes by leading discussions with administrators, purchasing personnel, outside-counsel, executives, customers, and stakeholders. - Assist in finding solutions during commercial processes, including interactions with financing institutions.
- Legal Study-Conduct legal scrutiny on contracts, regulations, and risk. Provide guidance on compliance issues. Be a subject matter professional for complex legal matters.
- Legal Research-Stay informed about medical device industry regulations. Offer guidance on best practices and HIPAA compliance. Keep up with trends.
- Legal Representation-- Work with team members internally. - Understand business goals and provide legal guidance. - Represent company with outside parties.
- Risk Management-Identify and assess potential legal risks in contracts. Provide support to mitigate risks. Offer strategies to ensure compliance.
- Compliance and Ethics -Uphold ethical standards and ensure compliance with all applicable laws, regulations, and company policies in contract negotiations and daily activities.
- Cross-functional Collaboration -Work with various teams to ensure legal requirements match business priorities. Review new products before launch and create legal agreements for support.
- Contract Lifecycle Management -Manage all contract stages, like drafting, execution, termination, and renewal. Collaborate with different teams for system sales, additional contractual activities. Work closely with Legal, Sales, Customer Service, Accounting, Logistics, Marketing, Clinical Affairs, Market Access.
- Departmental Support -Supervise junior Contracts team members. Aid in training and mentorship. Manage Intuitive Surgical's contract databases. Assist in improving contract processes and policies.
Qualifications
Required Knowledge, Skills, and Experience:
- Law degree (JD) from an accredited law school or equivalent legal experience.
- Minimum 4+ years’ experience with commercial contracts, or equivalent transferrable skillset from in-house or law firm setting.
- Knowledge of common legal terms. Understand commercial contracting terms, HIPAA, data security, and data privacy regulations.
- Legal research and methodical skills assessing risks and provide practical solutions, and ability to work autonomously.
