ROSEN USA is looking for a Corporate Counsel that will be based in Houston, TX. This position reports directly to the Head of Legal and Compliance and will be a part of the Legal & Compliance team. This position is will provide legal support for the United States, Canada, Mexico and Central America.
What role you will play in our team?
The Corporate Counsel is responsible for negotiating, drafting, reviewing, and researching a wide variety of agreements for the Company and its stakeholders. The position requires strict alignment with the Company’s focus to mitigate legal and reputational risks, continuous collaboration with stakeholders to evaluate such risks and provide adequate risk management solutions. Corporate Counsel is responsible for ensuring that the Company is conducting its business in compliance with applicable national and international laws and regulations, and counsel will continuously develop and standardize internal policies and guidelines in accordance with best practices and legal standards. The position is responsible for the administration of legal documents, such as reports, policies, agreements, etc. Further, counsel will also support the local and regional legal departments in all administrative legal issues. Maintaining and organizing the legal archives also falls within the scope of responsibility in addition to any other administrative task needed in order to support the legal department.
Responsibilities:
What will I be doing?
• Draft, review, and negotiate routine and complex services contracts, both for customers and suppliers
• Have experience negotiating high-risk provisions, including indemnification, intellectual property, consequential damages, limitation of liability, and warranties
• Identify risks in supply chain and services contracts
• Draft various legal documents, including amendments and letters
• Attend and participate in meetings, including interdepartmental, with leadership, and with customers and suppliers
• Stay informed regarding legal and regulatory changes and perform legal research as needed
• File and manage insurance claims through the claims cycle, including auto insurance claims
• Maintain and archive legal documents, internal communications, contracts, and other documents
• Provide support for regional legal and compliance initiatives
• Monitor deadlines, including for negotiations, termination dates, filings, and claims
• Provide legal advice to and lead training for non-attorney stakeholders
REQUIREMENTS
What are we looking for?
• Juris Doctorate (J.D.) from an accredited law school and admitted to Texas State Bar in good standing
• 2+ years of practice experience, in-house or with a law firm with a substantial corporate practice
Qualification or Skills:
• Excellent communication skills, both written and verbal
• Knowledge and experience with Word, specifically the Track Changes function, and redlining PDFs in Foxit and Adobe
• Must be able to work independently
• Spanish language capability is a plus, but not required
• Some international transactions experience is a plus, but not required
