Join Big Brand Tire & Service, a leader in the tire and automotive service industry, as a Paralegal, reporting to our in-house General Counsel, specializing in General Corporate legal matters. Key Responsibilities
General Corporate Governance
- Maintain and organize corporate books and records.
- Handle filings with Secretaries of State and various county/city regulatory bodies, including business qualifications and fictitious name filings.
- Develop and update spreadsheets to track documents and filings.
Commercial Contracts
- Ensure contracts are complete, accurate, and ready for execution.
- Obtain appropriate signatures and maintain organized files of executed contracts.
- Conduct reviews of standard agreements, such as NDAs.
Real Estate
- Ensure lease agreements and related real estate documents are complete and prepared for execution.
- Obtain signatures and coordinate with an external lease administrator to maintain records of executed leases.
- Notarize documents, including remote notarizations as needed.
Mergers & Acquisitions (M&A)
- Support M&A transactions, including managing confidentiality obligations, due diligence, and closing documents.
- Ensure documents are complete and ready for signature.
- Organize and maintain detailed indexes and files of executed M&A documents.
Miscellaneous/Administrative
- Create and maintain tracking documents, such as litigation logs and lists of open matters.
- Process invoices for outside counsel and vendors.
- Assist with corporate processes, such as signature stamp usage, signing authority levels, and document approval routing.
Qualifications
- Education: Associate’s or Bachelor’s degree in Legal Studies, Paralegal Studies, or related field preferred.
- Experience: Minimum of 3–5 years of relevant paralegal experience, with a focus on corporate governance, contracts, real estate, and/or M&A.
- Experience both at a law firm and in-house legal department
- Technical Skills: Proficiency in Microsoft Office Suite (Excel, Word, PowerPoint) and familiarity with document management systems.
