Join Big Brand Tire & Service, a leader in the tire and automotive service industry, as a Paralegal, reporting to our in-house General Counsel, specializing in General Corporate legal matters. This is an exciting opportunity to work in a dynamic and fast-paced environment, contributing to the success of a growing company!

Key Responsibilities

General Corporate Governance

  • Maintain and organize corporate books and records.
  • Handle filings with Secretaries of State and various county/city regulatory bodies, including business qualifications and fictitious name filings.
  • Develop and update spreadsheets to track documents and filings.

Commercial Contracts

  • Ensure contracts are complete, accurate, and ready for execution.
  • Obtain appropriate signatures and maintain organized files of executed contracts.
  • Conduct reviews of standard agreements, such as NDAs.

Real Estate

  • Ensure lease agreements and related real estate documents are complete and prepared for execution.
  • Obtain signatures and coordinate with an external lease administrator to maintain records of executed leases.
  • Notarize documents, including remote notarizations as needed.

Mergers & Acquisitions (M&A)

  • Support M&A transactions, including managing confidentiality obligations, due diligence, and closing documents.
  • Ensure documents are complete and ready for signature.
  • Organize and maintain detailed indexes and files of executed M&A documents.

Miscellaneous/Administrative

  • Create and maintain tracking documents, such as litigation logs and lists of open matters.
  • Process invoices for outside counsel and vendors.
  • Assist with corporate processes, such as signature stamp usage, signing authority levels, and document approval routing.

Qualifications

  • Education: Associate’s or Bachelor’s degree in Legal Studies, Paralegal Studies, or related field preferred.
  • Experience: Minimum of 3–5 years of relevant paralegal experience, with a focus on corporate governance, contracts, real estate, and/or M&A.
    • Experience both at a law firm and in-house legal department
  • Technical Skills: Proficiency in Microsoft Office Suite (Excel, Word, PowerPoint) and familiarity with document management systems.
