JOB SUMMARY:
The Paralegal position will be part of the Company’s Education (“Education”) Client Contracting Team and will report to the Managing Legal Counsel – Education. The Contracts Paralegal will play a pivotal role, having direct interactions with our internal clients to facilitate the drafting, review, and management of contracts within the Education Client Contracting Team. This position involves working closely with attorneys, business stakeholders, and external parties to ensure compliance with legal requirements and mitigate risks associated with contractual agreements.
ESSENTIAL DUTIES AND RESPONSIBILITIES:
- Contract Drafting and Review: The position will involve a mix of (1) having direct responsibility for commercial portfolio management, and (2)_assisting team attorneys in drafting, reviewing, and revising various types of contracts, including but not limited to, vendor agreements, foodservice contracts, non-disclosure agreements (NDAs), and licensing agreements.
- Contract Management: Maintain a centralized repository of contracts, tracking key terms, expiration dates, and renewal deadlines. Implement and manage contract management software systems to streamline processes and ensure compliance.
- Negotiation Support: The position will be a mix of (1) having direct responsibility for contract negotiation and (2) collaborating with team attorneys and business stakeholders to facilitate contract negotiations, including communicating with external parties, identifying areas of concern, and proposing alternative language or terms.
- Document Management: Organize and maintain contract files, correspondence, and related documentation, ensuring accuracy, completeness, and accessibility for reference and audit purposes.
- Training and Education: Provide guidance and training to internal stakeholders on contract-related processes, best practices, and legal requirements to promote awareness and compliance throughout the organization.
EDUCATION AND EXPERIENCE:
- Bachelor's degree in paralegal studies, legal studies, business administration, or a related field. Additional certifications or coursework in contract law or contract management may be advantageous.
- Previous experience of at least 3 years as a contracts paralegal or in a similar role, with knowledge of contract drafting, review, and management processes. Experience in contract negotiation and working with cross-functional teams is preferred.
- Proficiency in contract management software systems (e.g., Contract Lifecycle Management platforms), Microsoft Office Suite, and legal research databases (e.g., Westlaw, LexisNexis).
OTHER SKILLS:
- Excellent written and verbal communication skills, with the ability to communicate complex legal concepts clearly and effectively to diverse audiences.
- Attention to Detail: Strong attention to detail and organizational skills, with the ability to review contracts meticulously and identify potential issues or discrepancies.
- Analytical Skills: Critical thinking and analytical abilities to assess legal and business implications of contractual provisions and recommend appropriate courses of action.
- Collaboration: Ability to work collaboratively with attorneys, business stakeholders, and external parties in a fast-paced environment, demonstrating flexibility and adaptability to changing priorities and deadlines.
