We are currently seeking a highly skilled and motivated Senior Legal Analyst with expertise in Aviation Finance to join our team. This position is ideal for a candidate who possesses a comprehensive understanding of the aviation finance sector. In addition to specializing in aviation finance, the Senior Legal Analyst will be responsible for performing general paralegal duties by supporting the Finance & Restructuring business unit in various transactional matters. This role requires strong legal acumen, diligence, and experience in both aviation and finance-related legal work.
Key Responsibilities:
Aviation Finance Legal Support:
Assist with the structuring, drafting, and negotiation of aviation finance agreements, including aircraft purchase and lease agreements, security agreements, and other financing documents.
Conduct research and analysis on aviation finance laws, regulations, and industry trends to support legal decision-making.
Liaise with clients, banks, and regulatory bodies, ensuring all necessary legal requirements for aviation finance transactions are met.
Knowledge of aviation finance regulations, including the Chicago Convention, Cape Town Convention, and relevant industry standards.
Review and prepare documents for filing with aviation authorities (e.g., FAA, EASA) to ensure proper registration of security interests in aircraft.
General Finance Paralegal Functions:
Manage UCC filings related to secured transactions, including preparing UCC-1 financing statements and UCC-3 amendments, ensuring timely and accurate submissions.
Conduct UCC searches and analyze lien positions and priority interests in assets.
Assist with loan documentation, including reviewing and organizing closing documents, negotiating terms, and ensuring compliance with applicable laws.
Prepare and review corporate resolutions, officer certificates, and other ancillary documents required for corporate financing transactions.
Document Management & Legal Research:
Draft, review, and proofread legal documents and correspondence related to aviation and general finance matters.
Maintain up-to-date records on all legal filings, documentation, and case files.
Conduct legal research on aviation finance, general finance law, and other relevant areas, preparing summaries and recommendations for attorneys.
Track deadlines, ensure compliance with regulatory requirements, and provide assistance with reporting as needed.
Client Interaction & Relationship Management:
Act as a point of contact for clients on routine legal matters and provide updates on the status of transactions and filings.
Coordinate with outside counsel, clients, and financial institutions to facilitate the timely and accurate completion of legal documents and filings.
Administrative & Miscellaneous Support:
Provide general administrative support to the Finance & Restructuring business unit, including maintaining case files, preparing presentation materials, and managing calendars and schedules for senior legal team members.
Assist with training and mentoring junior legal analysts or paralegals as needed.
Qualifications:
Bachelor’s degree and equivalent legal or finance-related experience (required).
Minimum of 10 years of experience as a legal analyst or paralegal, with a focus on aviation finance and complex finance transactions.
In-depth knowledge of aviation finance transactions, including aircraft leasing, purchase agreements, and security interests.
Strong understanding of UCC filings, secured transactions, and other general finance-related legal matters.
Experience with legal research, document drafting, and transaction management.
