The Sr. Director, Head of Legal, EMEAI provides legal counsel and guidance to senior management and personnel on a broad range of issues and provides leadership to a team of lawyers. The Head of Legal will also work closely with our sales, channel, and regional leadership and work collaboratively with our global legal team to establish strategic priorities, training resources, and a globally consistent approach to legal issues and risks.
What you can expect to do in this role:
- Advising regional and executive management of legal, compliance, and risk management issues related to existing and contemplated commercial transactions and initiatives.
- Advising the business on legal and regulatory issues regarding the expansion of its business into new countries (i.e. entity structure, employment laws, contract structures, etc.) and creating appropriate structures and operating models to enable the business to operate in new territories.
- Monitoring legal, legislative and regulatory trends applicable to the business (i.e. data privacy, security and data protection laws) and coordinating with and training the business as needed.
- Working with the business product team on development of new products and services and advising on risk, compliance and legal issues associated with such new products and services.
- Reviewing, drafting and negotiating various standard and non-standard contracts and related documents in support of business needs and initiatives. Representative agreement types are as follows: Software licensing agreements (including SaaS/hosted); SOW’s, Master Services Agreement, Non-Disclosure Agreement’s, vendor agreements, distribution, resale and other channel agreements.
- Supporting the implementation of technology and process to enable the efficient and timely delivery of services to the business by the Legal team.
- Developing and enhancing compliance processes and programs in coordination with the Compliance team to ensure compliance with internal policies, applicable law and regulations, as well as client expectations and commercial commitments.
- Advising on and participating in strategic transactions (eg M+A and strategic licensing) within the region.
- Advising on and liaising with corporate and regional HR on employment matters as needed.
- Managing company secretarial and governance matters for the company’s entities outside of the US, liaising with corporate and finance as required.
- Supervising and coordinating work of internal Legal team members in region; taking account of the needs of the business and the professional development of team members so they are given opportunities to expand their skills.
- Coordinating with local external counsel as needed.
- Reporting matters as required to the Company’s Chief Legal Officer
- Leading with other legal and compliance projects as requested.
- Travel may be required.
What we are looking for:
- Minimum of 10 years PQE. Prior in-house experience preferred.
- Law degree from an accredited law school and active license to practice law (Required)
- Experience in cultivating and managing the professional development of lawyers and staff.
- Extensive experience in a commercial organization/s and acting as a corporate generalist in a pan-European role, preferably in the
- Work in the Technology sector preferred.
- Experience in working in corporate settings and knowledge of commercial contracts negotiation, intellectual property, strategic partnerships and other complex transactions and compliance. (Required)
- Understands business challenges and works to develop sensible and commercially reasonable compromise positions; a demonstrated capacity and willingness to make sound commercial and legal decisions is critical even in the face of ambiguous or conflicting laws and regulations across the business.
- Ability to operate independently in a fast-paced, complex environment.
- Strong agreement drafting/negotiating skills and experience on a wide range of agreements, including sales contracts, technology licensing and partnership agreements.
- Knowledge and expertise in data privacy laws and regulations.
