The Role at a Glance
We’re excited to bring on an Assistant Vice President and Senior Counsel, Commercial Contracts to provide legal counsel and thought leadership to business clients responsible for a wide variety of contracts and transactions, including software-as-a-service agreements, outsourcing agreements, professional services agreements, licensing agreements, supply agreements, equipment lease agreements and event planning agreements.
In this role you will have a leadership role in negotiating tens of millions of dollars of annual spend and will be responsible for creating and driving adoption of best practice contracting principles.
What you'll be doing
- Provide subject matter expertise on preparation, negotiation and execution of contracts
- Key contributor and advisor in cross-functional team environments who interacts with lines of business to understand and mitigate legal, regulatory, reputational and business risk
- Collaborate with peers and leadership across the Business Units and Departments to champion and drive change management and process improvements
- Develop and define appropriate objectives for quality, compliance, and productivity within your assigned areas of responsibility
- Provide legal counsel to internal stakeholders on complex assignments/projects
- Invites and encourages dialogue with and among employees and peers to increase understanding of differing points of view, strengthen team cohesion and promote good decision making
- Continuously develop and refine knowledge based on current and emerging developments/trends for assigned area(s) or responsibility; assess the impact and collaborate with senior management to incorporate new trends and developments into current and future strategies
- Identify knowledge and skill gaps within the organization and leverage outside counsel expertise as appropriate
What we’re looking for
- J.D. from an ABA-accredited law school and member of a state bar in good standing (required)
- 8 - 10+ years of business law experience at a law firm and/or corporate legal department focused on commercial contracts and various business transactions (required)
- Advanced knowledge and expertise in all facets of contract law
- Working knowledge of data privacy, antitrust and intellectual property law
- Experience successfully negotiating wide variety of contracts, including software-as-a-service agreements, outsourcing agreement, licensing agreements, professional services agreements, lease agreements, and supply agreements
