Location Designation: Hybrid - 3 days per week
The VP of Corporate Development will work in partnership with other executive members of the Corporate Development team to lead all activities relating to enterprise and business strategic investments, partnerships, M&A, and related activity.
Description of the role
Thought, strategy and organizational leadership
- Drive all aspects of the enterprise corporate development process from start to finish
- Scope of corporate development will be broad and include mergers & acquisitions, divestitures, minority stakes, strategic partnerships, reinsurance structures, capital management, and other financial or strategic transactions
- Partner with businesses and executive management to develop enterprise and business corporate development strategy that is aligned with strategic priorities
- Develop and enhance internal capabilities to execute corporate development and M&A initiatives, including working with stakeholders to design processes, identify resources, lead training, and produce appropriate playbooks
Develop and expand the opportunity set based on a focused strategy
- Lead fundamental research, data gathering and analysis of sectors, products, and businesses in support of the strategy and corporate development process
- Identify, source and develop relationships with potential targets and strategic partners
- Be an effective advocate for NYL as a strategic partner
- Manage relationships with banks, other advisors, and potential counterparties
Lead transaction execution
- Lead all aspects of deal execution including project planning and management, stakeholder coordination, governance and approvals, due diligence, etc.
- Develop project timeline and workflow
- Establish alignment and collaboration with multiple constituents
- Lead all communications, development of supporting materials, and discussions with senior management and support Board of Director communications on corporate development matters
- Lead teams in due diligence including working with business units and enterprise functions
- Lead development and review of financial models and analyses
- Analyze and draw insights from GAAP and statutory financial statements and analyses
- Lead valuation work and review of actuarial and other third party appraisals
- Lead structuring of transaction funding
- Lead analysis of transaction impact on the enterprise financial and capital position and determine pro forma metrics
- Lead negotiations and development of all transaction terms and contracts
- Oversee a project management office and other stakeholders in integration planning
