Job Summary 

We are seeking an experienced and dedicated General Counsel to join our dynamic team. The General Counsel will be responsible for overseeing all legal affairs of the company’s operations and providing strategic legal advice to senior management and come to work with a problem solving mindset. This role requires deep knowledge and experience in legal matters involving corporate governance, finance, sales, technology, operations, real estate, construction, employment, and security for a growing solar technology company. The candidate must have substantial experience in the technology sector and management of Intellectual Property, licensing, and risk mitigation initiatives, as well as be a creative thinker, among other core skills. 

Key Responsibilities 

  • Legal Oversight: Lead the company’s legal team and oversee all legal affairs of the company, including corporate governance, Intellectual Property, finance, operations, sales, technology, real estate, employment, information technology, and security matters. 
  • Counsel to Senior Management: Provide legal and strategic business advice to the company’s executive team and senior management. 
  • Legal Compliance: Ensure the company's operations comply with all relevant environmental, corporate, and labor laws. 
  • Intellectual Property: Oversee the company’s patent portfolio, including leading the company’s Patent Review Committee and Patent Incentive Program, providing strategic advice on protecting the company’s proprietary information and trade secrets, performing intellectual property due diligence for company financing and equity investments, working with outside prosecution counsel on patent and trademark matters, providing education and training to company personnel on Intellectual Property and confidentiality issues, and advising the company on IP licensing, risk mitigation, and litigation matters. 
  • Assist in company structuring and financing to meet strategic and financial objectives.  Provide proactive advice and feedback on optimizing for maximizing revenue and profitability. 
  • Outside Counsel: Retain and manage outside counsel and ensure fees meet budgetary objectives. 
  • Regulatory Affairs: Monitor and interpret environmental regulations and advise on necessary adjustments to company policies and practices. 
  • Contract Management: Draft, review, and negotiate contracts with suppliers, customers, and partners to represent and protect the company's interests.  Find innovative solutions and contract structuring to help enable the company’s unique business model. 
  • Risk Management: Identify potential legal risks and develop strategies to mitigate them. 
  • Corporate Governance: Advise the executive team and board of directors on legal matters and corporate governance best practices; preparation of board resolutions and meeting minutes. 
  • Equity Plan: Manage the company’s stock plan and capitalization table. 
  • Litigation Management: Oversee litigation and dispute resolution processes, and engaging with outside counsel as needed. 
  • Policy Development: Develop and implement company policies to ensure legal compliance and promote best practices. 

Qualifications: 

  • Undergraduate and Juris Doctor (JD) degrees from accredited schools. 
  • At least 10 years of experience as General Counsel or Deputy General Counsel in a technology company. 
  • Admission to the bar in the relevant jurisdiction. 
  • Strong analytical, negotiation, and communication skills; ability to work collaboratively with cross-functional teams.
