SENIOR ATTORNEY- REAL ESTATE

Seasoned attorney with experience in the following substantive areas: mergers and acquisitions; commercial relationships; equity investments; corporate financing; public company securities law, including proxy statements, current and periodic reporting, insider trading compliance, and corporate governance; and general commercial contracts and strategic transactions. Work directly with internal clients to structure, draft and negotiate contracts; collaborate with capital management and treasury teams. Interact with and advise senior management in areas of responsibility. Work on resolution of contract disputes, risk analysis, regulatory compliance, prepare and revise standard forms of agreements, and training internal clients on legal issues. Must have excellent writing skills and must be capable of handling most matters with a minimum of supervision. - Ensure that the company complies with all applicable laws, rules and regulations within the associate's areas of responsibility
- Keep supervisor informed of all material legal matters affecting the company
- Review, draft and negotiate legal agreements and other legal documents
- Advise the company concerning legal rights and obligations

Minimum
- Any experience in the following substantive areas: mergers and acquisitions, commercial relationships, equity investments, corporate financing, and general commercial contracts and strategic transactions
- 10+ years experience in the area(s) of current practice
- Admitted to the practice of law in at least one U.S. Jurisdiction
- Ability to advise clients in a manner that demonstrates an understanding of the business objectives and risk/reward analysis
- Ability to handle multiple projects efficiently and to deal effectively with clients
- Excellent oral/written communication skills
- Excellent practical and creative problem-solving skills.
- Excellent business judgment
- Self-directed, ability to execute projects with minimal supervision
