We have an exciting opportunity for you to join our team as Corporate Service Senior Associate Manager in our Corporate Services business. Reporting to the Company Secretarial Senior Manager, this full-time and permanent position is based in Delaware and offers the opportunity to expand your company secretarial experience, allowing you to make a significant impact to our business and its' growth.  

 

Position Description :

 

The Corporate Service Senior Associate will be managing registered agent services and corporate governance matters in the US. This role has responsibility for managing service of process and government communication received on behalf of our clients within the state of Delaware and coordinating the management of service of process across all 50 states, process filings and transactions with the Secretary of States offices and ensuring appropriate policies and procedures are fit for purpose and implemented

 

Key Responsibilities :

 

  • Manage all incoming government and legal communication received on behalf of clients and ensure proper protocols are followed regarding the handling of such communication.
  • Manage corporate filings and document order transactions with the Secretary of States offices throughout the U.S. including drafting of certificates of organization/incorporation, qualifications, change of agent, amendments and any other necessary filings on behalf of our clients.
  • Order documents from the Secretary of States offices such as certified copies of filings and obtain good standing certificates.
  • Perform status checks across the U.S. and ensure internal databases are updated with most recent and accurate information
  • Provide KYC support and maintain KYC information
  • File annual reports and maintain a compliance calendar for all necessary filings
  • Research information regarding specific business entities in all jurisdictions.
  • Perform corporate secretarial duties such as attend board meetings, draft minutes, and if necessary Secretary Certificates, stock purchase agreement, and capital contribution resolutions (where required)
  • Provides franchise tax information for corporations both annually and upon decision to dissolve by merger or conversion.
  • Has a working knowledge of the role of registered agents, their services and responsibilities.
  • Performs other related duties as assigned including supervise junior staff
  • This is an in-office position based in DE, Monday through Friday

 

 

Relevant Experience & Skills :

  • Experience as a corporate paralegal at a law firm, legal service company or corporate law department
  • Strong working knowledge of DE Corporate law and U.S. corporate law
  • Effective communication skills and the ability to develop professional relationships with vendors and state resources.
  • Ability to navigate through fluid circumstances.
  • Highly organized and accountable
  • Must be a self-starter

 

Professional Qualifications :

 

  • Bachelor’s degree in Accounting or Paralegal Certification
  • Minimum 5yrs experience in a legal setting
  • Notary Public (or willing to obtain Notary Public certification)

  • Base Salary $76,500 - $90,000 depending on experience
