Greenberg Traurig (GT), a global law firm, has an exciting full-time employment opportunity for a mid to senior-level Associate within our Corporate Practice in our Fort Lauderdale office. We will consider candidates outside of Fort Lauderdale with a preference for Florida based candidates.

Job Requirements

Ideal candidates will have 4+ years of prior experience in working within a practice counseling clients on both domestic and cross-border capital markets and M&A transactions.

Candidates should have familiarity with public and private (Rule 144A) securities offerings, proxy statements, S-1/S-3 registration statements in connection with securities offerings, S-4 registration statements in connection with business combination transactions, interfacing with the SEC and other regulators, and familiarity with the ongoing reporting requirements under the ’34 Act for public companies, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and under Sections 13 and 16 for other reporting persons. Candidates also should have day-to-day experience counseling public companies, including with respect to corporate governance matters.

Candidates will also have demonstrated experience in all aspects of complex M&A transactions, including drafting and negotiating agreements and due diligence.

Candidates should be diligent, proactive, supportive and team oriented. They should possess a strong academic background with superior drafting skills and be willing to take on significant responsibility for deal management, client interaction and work product. Admission to one or more state bars is required.
