RWE Clean Energy has an immediate opening for a highly skilled and knowledgeable Senior Paralegal in our Chicago office, working specifically in a transactional capacity. Under the direction of lawyers on the transactional team that specializes in Renewable’s M&A, Project Finance / Tax Equity, Corporate Finance, and Environmental matters, this position performs a broad range of support to handle day-to-day transaction management. The successful candidate must be inquisitive, detail oriented, team oriented, and comfortable being part of a growing and dynamic corporate environment.
Responsibilities:
- Due Diligence
- Consolidate transaction legal team’s due diligence requests, track response and progress, and ensure team remains on schedule
- Review and coordinate gathering of information, materials, documents, reports, and evidence necessary to respond to third party due diligence requests
- Document Preparation
- Support preparation of structure charts, presentations and steps memoranda
- Draft various corporate documentation under attorney supervision including Board resolutions and consents, distributions, contributions, assignments, and officer’s certificates, and assist with preparation of ancillary documents, schedules, and exhibits.
- Proofread documents and track the status of document preparation
- Lead Confidentiality/Non-Disclosure Agreement (“NDA”) process for the company
- Review and comment on NDAs, under attorney supervision
- Research, Filings and Searches
- Initiate lien and litigation searches and analyze and summarize results
- Prepare and file UCC financing statement filings, amendments and terminations, ensuring accuracy and compliance
- Closings
- Assist with multiple transactional closings such as for mergers and acquisitions, joint ventures, financings, and strategic investment
- Create closing checklists and working group lists
- Manage preparation, assembly and compilation of documents in advance of closing and coordinate gathering signature pages directly or by using DocuSign; coordinate with external counsel when needed
- Prepare electronic closing files, organize and distribute orignals of executed agreements internally and to outside counsel, as required
- Compile and index documents for preparation of closing binder, and distribute closing binders in a timely fashion
- Document Retention
- Maintain centralized repository for forms and deal specific documents
- Locate applicable precedent in repositories upon request
- Communication
- Communicate regularly with transactional legal team and internal clients regarding the status of projects and deadlines, and inform transactional legal team of any issues
- Track and communicate all material deadlines
- Participate in internal legal teams’ status meetings
- Other duties, such as:
- Assist in the development and coordination of virtual and in-person training sessions on NDAs and other legal education topics, as needed
- Coordinate external law firm engagements, including budgeting and monthly forecasting for transactions
- Other projects to enhance the efficiency or effectiveness of the transactional legal team
Qualifications:
- Bachelor's degree or paralegal certificate required
- Minimum of 5 years of corporate transactional experience within a mid-to large-size law firm or corporate setting
- Experience in at least one of: M&A, Corporate Finance, or Project Finance/Tax Equity transactions
- Experience in renewable energy sector is highly preferred
- Proficient in office software products, including Word, Excel, Outlook, Adobe, SharePoint and PowerPoint
- Proactive self-starter who understands the details within the larger context and who will propose and implement structures and systems where none currently exist
- Resourceful and appropriate decision-maker, knowing when to inform a supervisor of a situation but also willing to become the “go to” person for matters
- Able to juggle multiple assignments and prioritize accordingly
- Diplomatic and able to get others to collaborate without overt use of authority
- Able to express and articulate themselves clearly, including use of proper grammar and appropriate vocabulary, as well as the ability to describe a set of facts or information in an organized, precise, clear and unambiguous fashion
- Strong organizational and time management skills
- Able to work independently and collaboratively, depending on the situation
