Position Summary

The Hub Project seeks a Director of Contracts & Corporate Governance to serve as the organization's senior authority on contracting, vendor relationships, and institutional compliance. This is a strategic leadership role that combines end-to-end contract ownership with responsibility for building and maintaining a governance framework that protects The Hub's legal standing, operational integrity, and mission alignment.

The Director will advise senior leadership and partner organizations on governance matters and serve as the primary liaison to legal counsel, fiscal sponsors, and key external partners. This position is essential to sustaining The Hub's ability to move rapidly, compliantly, and at scale.

Key Responsibilities

Contracts Leadership

  • Provide strategic oversight and ownership of the full contract lifecycle - from initial scoping through execution, amendment, renewal, and closeout — ensuring speed, accuracy, and compliance at every stage.
  • Develop and maintain a portfolio of contract templates, standards, and playbooks that reduce cycle times and legal exposure.
  • Serve as the organization's primary point of escalation for complex, high-value, or sensitive contractual matters.
  • Own the relationship with in-house and outside legal counsel, directing engagement efficiently and cost-effectively.
  • Design and maintain systems for tracking contract status, spend against caps, renewal timelines, and risk flags across the full portfolio; deliver regular reporting to the COO and senior leadership.
  • Continuously evaluate and improve contracting processes, integrating automation and tooling where appropriate.

Corporate Governance

  • Build, maintain, and evolve The Hub's corporate governance framework, including policies, procedures, and internal controls governing organizational decision-making, vendor relationships, and regulatory compliance.
  • Advise the Board of Directors and senior leadership on governance best practices, emerging regulatory requirements, and institutional risk.
  • Ensure organizational compliance with applicable nonprofit law, IRS regulations, state registrations, and fiscal sponsorship agreements.
  • Partner with Finance and Legal to design and implement controls that prevent conflicts of interest, protect organizational assets, and maintain donor and partner trust.
  • Serve as the internal subject matter expert on governance-related questions arising from campaign operations, vendor relationships, and grant or fiscal sponsorship requirements.

Financial Operations Partnership

  • Collaborate closely with the Financial Operations team as a strategic partner on matters where contracts and finance intersect, including payment accuracy, contract spend tracking, and budget alignment.
  • Provide contractual context and guidance to support the Financial Operations team in invoice review and payment processing, without direct ownership of those functions.
