Position Summary
 

As a Manager within the Enterprise Procurement Subcontractor Compliance & Risk department, you will play a pivotal role in supporting the CVS Health Pharmacy Benefit Management (PBM) business unit. You will be entrusted with implementing critical safeguards and overseeing third-party vendor relationships to ensure rigorous adherence to contractual flow-down requirements, as well as PBM client-specific contract obligations. Success in this role demands exceptional organizational acumen and the ability to deftly manage multiple priorities and a high volume of complex contractual negotiations simultaneously. You will serve as a key representative of Enterprise Procurement on cross-functional project teams reporting to senior leadership, facilitating enterprise-wide compliance initiatives—both contractual and operational. Flexibility, collaboration, and a solutions-oriented mindset are essential as you work to achieve outcomes that advance the interests of the enterprise, our clients, and our partners. Key Responsibilities include, but are not limited to:

  • Drafting, preparing, and reviewing contract documents in strict accordance with company policies and procedures, with a focus on minimizing risk and maximizing value.
  • Leading targeted aspects of third-party supplier contract negotiations, including regulatory flow-down provisions and PBM client-mandated terms, to ensure robust risk mitigation and enterprise value.
  • Analyzing Medicaid requirements, special provisions, and terms and conditions to guarantee the appropriate flow-down of obligations to managed vendors.
  • Collaborating with a diverse pool of managed vendors to maintain compliance with all relevant laws, regulations, corporate policies, business unit procedures, and client requirements.
  • Partnering with CVS Health business owners and program end-users to identify and manage third-party vendors integral to PBM product offerings.
  • Negotiating and memorializing critical flow-down provisions and specific terms and conditions with each vendor.
  • Engaging with CVS subject matter experts to ensure vendor compliance with all CVS Health requirements and providing regular updates to key stakeholders.
  • Supporting PBM Account Management, PBM Legal, and PBM Proposal teams in the development of RFP requests by supplying necessary compliance documentation and responses.
  • Collaborating with PBM Legal to update and renegotiate flow-down provisions as needed.
  • Acting as the primary point of contact between legal, finance, senior leadership, business teams, and vendors regarding the status and resolution of performance issues and disputes.
  • Serving as the subject matter expert for third-party vendor subcontractor-related inquiries, including marketplace RFP exercises and client account management.
  • Reviewing client contracts pre-award to assess compliance and identify potential risks or red flags.
  • Acting as the initial liaison with business units to ensure compliance with established policies.
  • Creating and distributing vendor reports to clients as required.
  • Representing Enterprise Procurement and CVS Health with professionalism in all interactions with internal customers, vendors, and external partners.
  • Modeling exemplary conduct for the department, mentoring and guiding staff, and providing corrective action when necessary.

Required Qualifications

  • Minimum of 5 years of professional experience in a corporate environment, with a focus on vendor management, compliance and risk, or contract negotiation.
