At Truven, we're not just working with healthcare data, we're changing how the industry uses it to improve lives. We're seeking Assistant General Counsel to provide proactive, practical and strategic legal advice to support a high-performing, growth-oriented business, driving sales and innovation using emerging technologies, and working in a regulated environment. You'll work closely with the Legal team, senior business leaders and key stakeholders across the organization to provide counsel on legal issues and risk mitigation guidance while driving impact across transactions, products and compliance.

Your expertise will help turn healthcare data into clear, actionable strategies that drive better outcomes and smarter decisions. You'll have a direct hand in work that impacts real people, every day. In your privacy role, you will help shape and support Merative's enterprise privacy program, partnering with business, product, technology, and compliance teams to ensure compliance with applicable privacy laws and regulatory requirements. You will identify, assess, and help manage privacy and data-use risks, developing practical, business-oriented strategies to mitigate risk while enabling innovation. You will also advise on emerging technologies, including artificial intelligence and advanced analytics, helping to develop responsible approaches that support Merative's continued innovation and growth.

How you will contribute:

• Draft, negotiate, and manage a wide range of commercial and government agreements (enterprise SaaS and data contracts, business associate agreements, data processing agreements, strategic partnerships, vendor contracts, and more).

• Negotiate directly with large enterprise customers, government customers and strategic partners, balancing speed-to-close with thoughtful risk mitigation.

• Learn and understand Truven's products, business model, strategy, culture, etc. to develop a deep understanding of the business and support its goals by providing practical and actionable legal advice.

• Advise product teams on privacy matters, including compliance with applicable laws and regulations, privacy policies and procedures, with a focus on mitigation strategies.

• Advise on privacy, data governance, and emerging technology initiatives, including artificial intelligence, to identify and address privacy and commercial risks while enabling responsible innovation across all business units in Merative.

• Build strong business relationships with leadership, internal stakeholders, and external parties to advance business and legal interests and to collaborate on the development of new products, technologies and markets and privacy compliance.

• Assist in building smarter processes to help scale contracting and drive compliance.

• Work with existing contract management systems and contract processes and identify, implement and support improvements.

• Perform other duties and responsibilities as needed, requested, and/or assigned.
