Job Summary:
The Associate General Counsel, Transactional Practice Innovation, will play a leading role in evolving and innovating the effective and efficient provision of services to meet the Firm’s transactional legal needs. This attorney will develop and implement strategies to address opportunities to improve the Firm’s efficiency and speed to contract execution while managing risks. This attorney will leverage skills as a strategic business partner and work with OGC colleagues and internal clients and business leaders to provide creative business solutions as permitted under applicable law. In addition, this person will be responsible for supervising the work of less experienced OGC transactional lawyers and providing them mentoring as needed to deliver business oriented and pragmatic legal advice to internal clients.
Job Duties:
- Develops and implements innovative strategies and processes to enhance OGC’s delivery of services to meet the Firm’s transactional legal needs, including, e.g.:
- Develops and implements strategies to improve the Firm’s efficiency and speed to contract execution while appropriately managing risks
- Leads legal risk management evaluation of frontier legal issues involving services offering and new technology; develops/leads related training to lawyers and internal clients
- Leads and develops global contracting approaches and processes; collaborates with cross border participants for critical adoption, drafts associated contracting documents, procedures, and lead/provide associated training
- Develops enhanced cross service line process for risk management of internal development of new I/P; trains and provides legal support for implementation
- Reviews and provides advice on all legal matters pertaining to acquisitions, strategic alliances, large-scale contracts and other commercial transactions or relationships
- Manages and resolves all legal issues pertaining to transactional, commercial and structural/corporate matters in a manner consistent with the Firm’s business decisions and strategy
- Supervises the work of less experienced OGC attorneys who are assisting this lawyer with specific projects and generally in relation to day to day transactional matters
- Participates in the selection and supervision of outside counsel when needed and to obtain the best possible representation in the most cost-effective manner
- Acts to protect the Firm by establishing risk and compliance standards and expectations for the Firm’s transactional legal work while creating opportunities and paths to allow the Firm to execute strategy to the fullest
- Develops competencies in additional areas of law as needed or requested by the General Counsel or Deputy General Counsel, which can include, regulatory, intellectual property, bankruptcy, privacy and security, or other areas of law
- Effectively communicates with the General Counsel, Deputy General Counsel and various inside and outside parties with regard to the progress of matters of importance as reporting in general as requested

Qualifications, Knowledge, Skills and Abilities:
Education:
- Juris Doctorate (JD), required
Experience:
- Twelve (12) or more years of broad corporate/commercial and finance experience as a practicing attorney in good standing, required
- Prior experience in a national law firm and within a corporate or other large business structure, required
- Prior experience representing a professional service business and in developing and implementing innovative transactional strategies preferred.
- Possesses a proven record of professional excellence and achievement
- Demonstrates a record of providing substantive/technical legal advice and support to senior management team and business leaders
- Must have a history of building strong relationships and performing in effective supervisory and leadership roles; must possess a collaborative working style
- Demonstrates deep commercial experience leading and closing various transactions (strategic alliances, acquisitions, joint ventures, divestitures), negotiating large scale contracts, and devising pragmatic, creative solutions for problems, opportunities and business strategies
