Entegris, a leading supplier of advanced materials and process solutions for the semiconductor and other high-technology industries, is seeking an experienced, full-time Associate General Counsel, Commercial and Operations, to join its well-regarded and fast-paced Law Department.
This newly created role will be based in Billerica, MA, and report to the SVP, General Counsel and Secretary. The position will have a wide range of responsibilities, including advising and counseling on strategic commercial transactions and initiatives, providing advice and counsel to our operations teams, and working collaboratively with the global Law Department to enhance its operations to more effectiveness to deliver services to better support our dynamic business. This is a high-profile role that will have visibility of and partner with the Company’s senior leadership team.
In this role you will:
- Serve as lead commercial attorney for strategic customer engagements.
- Draft, review, negotiate, oversee and provide counsel to our business partners on strategic partnerships and transactions, including the planning, structuring, analysis, negotiation, review, drafting and implementation of strategic contracts.
- Provide counsel and support to our operations teams, including our Procurement, Supply Chain, Facilities and Environmental, Health, Safety and Sustainability teams
- Provide practical and pragmatic advice to internal clients to address, manage and mitigate identified risks in transactions and partnership.
- Provide strategic advice to business partners and day-to-day legal counseling while ensuring compliance with legal, financial and risk management frameworks.
- Drive the Law Department’s efforts to create, implement and refine legal operations, forms, policies and procedures and prepare to improve efficiency of legal and business activities.
- Work collaboratively with our compliance teams to support and implement effective risk mitigation initiatives.
- Build relationships with internal clients with diplomacy and by providing insightful, timely, pragmatic, and proactive counsel with limited supervision.
- Showcase strong teamwork and collaboration with the broader Entegris Law Department.
- Stay current on emerging legal and regulatory trends impacting Entegris’ business.
- Provide support for litigation, dispute resolution and other matters as they arise.
- Supervise and manage external legal counsel.
Traits we believe make a strong candidate:
- JD degree from an American Bar Association accredited law school
- Admitted in good standing to practice law in at least one state in the U.S.
- Minimum of ten years’ experience as an attorney with experience in-house at a large, multi-national corporation
- Must have excellent interpersonal skills with demonstrated ability to work as part of a high-performing team
- Ability to drive investigations into internal practices to identify areas of risk and opportunity.
- Experience managing legal professionals
- Requires a proven ability to balance multiple priorities, work independently, and meet deadlines
- Excellent judgment, assertiveness, and interpersonal skills
- Candidate demonstrates a breadth of diverse leadership experiences and capabilities including: the ability to influence and collaborate with peers, develop and coach others, oversee and guide the work of other colleagues to achieve meaningful outcomes and create business impact.
- Regular in-person attendance is an essential function of this role
- The ability to travel to support our global business, up to 20%, is an essential function of this role.
