Job Description:

Position Overview:  TD Securities is seeking an experienced and skilled Director and Senior Counsel to provide legal support across a variety of capital markets transactions, with a focus on funding-type transactions in the Global Markets business of TD Securities. You will play a key role in the legal management of various transactions, including coordination with external counsel and regulatory colleagues. This role offers an exciting opportunity to work in a fast-paced, collaborative and high-performance environment, handling complex and broad-scope legal matters.

The successful candidate is lawyer with experience in US capital markets transactions and various regulatory matters at a large law firm and/or financial institution.

Key Responsibilities:

  • Provide legal counsel on a variety of capital markets transactions, with a particular focus on funding transactions, including balance sheet management related transactions, within the Global Markets business of TD Securities.

  • Lead the legal management of transactions, ensuring compliance with internal policies and external regulations.

  • Coordinate with regulatory colleagues to address legal and compliance considerations.

  • Draft, review and negotiate transaction documents and agreements.

  • Advise internal stakeholders on legal risks and strategic considerations related to funding and capital markets transactions.

  • Stay up to date on legal and regulatory developments impacting global markets activities.

  • Support other legal matters as required in a dynamic and challenging environment.

Qualifications/Competencies/Accreditation:

  • 10+ years of legal experience, ideally gained at a large law firm or a mix of private practice and in-house roles involving complex, novel or niche transactional work.

  • Strong background in capital markets, funding transactions and regulatory considerations.

  • Some securities regulatory, commodities or similar experience is an asset.

  • Strong analytical, problem-solving and decision-making skills.

  • Ability to work effectively in a fast-paced, complex and ever-evolving environment.

  • Excellent communication skills and the ability to provide clear, business-oriented legal advice.

  • Qualified to practice law in the New York.

The Dir – Legal TDS provides oversight, legal advice and support to TD Bank management in Corporate Group Functions and Business Units. Functions as legal expert in one or more defined subject matter areas and/or specific business lines. Provides high level legal advice to specific business area(s), may prepare resolutions, contracts, memoranda to management, litigation documents and forms and participates in major legal actions. Foresees and protects the Company against legal risks.

Depth & Scope:

  • Manages other Senior Counsel, Counsel, Associate Counsel and/or paralegal staff, assigning responsibilities and evaluating results

  • Provides leadership, coaching, counseling and guidance to staff

  • Supervises external counsel providing advice or other legal services of the Company

  • Works closely with General Counsel, department attorneys and external legal counsel on specific legal issues related to the Company's business

  • Serves or may lead in one or more permanent or ad hoc practice groups or cross-practice teams of attorneys and staff

  • Advises lines of business on best practices that help minimize legal and litigation risk

  • Assists General Counsel in developing and managing departmental budget for both internal and external legal spend
