ezCater seeks a Commercial Counsel to be the primary legal support for our high growth demand side sales organization, which brings our Food for Work solutions to organizations ranging from SMBs to Fortune 100 companies across a wide range of industries and higher educational institutions in the United States. You will draft, review, and negotiate commercial contracts on ezCater and third-party paper and collaborate with sales, operations, finance, security, people operations, and other business units as needed to address customer requirements. You will support the continuous improvement of standard agreements, policies, and processes, and design and participate in contracts-related training for the sales organization. This role will report to the Assistant General Counsel (Commercial).
What You'll Do:
- Negotiate a wide range of commercial sales agreements on ezCater templates and third-party paper that drive the company’s revenues and strategic direction while balancing legal risk and company objectives
- Build and improve contract forms, playbooks, and legal processes that will help the business scale
- Learn our business and industry; develop and deploy a calibrated risk-based approach to complex and novel legal issues and identify trends in B2B customers’ requirements
- Partner closely with the demand sales team to understand ezCater’s value proposition, as well as collaborate cross-functionally with colleagues from every part of the company to develop creative solutions to unique customer requests
- Manage ezCater’s standardized customer contracts and identify needs for additional documentation or modification of terms in response to trends
- Design and provide trainings to ezCater Sales teams on contract best practices and frequently negotiated issues
- Represent the ezCater legal team as part of a cross-functional working group that contributes responses to customer RFPs
- Advise on B2B product marketing materials and coordinate with other legal team members to ensure consistency in messaging around products, services, and related claims
- Work closely with other members of the legal team to identify and resolve customer-related privacy, tax, and regulatory issues
- Handle projects supporting the ezCater demand sales team at the discretion of the leads of the ezCater legal commercial and compliance groups
What You Have:
- J.D. degree from ABA-accredited law school
- Admission to, and good standing in, any state bar or the District of Columbia bar
- 3+ years’ experience supporting B2B sales organizations in contract negotiations
- Experience in the tech industry, particularly online marketplaces
- Privacy experience
- A combined 6+ years’ legal experience in law firm and in-house environments
- A strong track record of efficiently drafting and negotiating a range of commercial agreements, including MSAs, SaaS agreements, strategic partnership agreements, and data processing agreements, both on templates and third-party paper involving SMBs to Fortune 100 companies
- Excellent analytical, communication, and organizational skills, with the ability to prioritize and manage multiple matters simultaneously
- The ability to accommodate tight deadlines and operate in a fast-paced environment
- Drive collaboration and share knowledge and expertise, but also work independently
- Negotiated with both in-house and external counsel, as well as procurement departments
- Know your internal audience and have demonstrated success in providing effective, practical educational materials to improve processes
- The ability to interact effectively with individuals of varied backgrounds and skill levels to gain trust and drive appropriate outcomes
- A team attitude that no job is too big or too small
- A demonstrated ability to proactively identify issues, make cost/benefit assessments based on business objectives and philosophy and an appropriate balancing of legal risks and business needs, and identify pragmatic/creative legal and business solutions
