The opportunity

Provide legal counsel on transactions, commercial contracts and legal compliance. The position will serve a broad spectrum of business units and functional areas, including procurement, M&A, business development, alliance management, real estate, finance, QA/QC, human resources, environmental, health and safety (EHS), global facilities management, government affairs, internal audit and compliance, logistics and distribution, customs – import/export, and generic biopharm.

How you’ll spend your day

  • Draft, negotiate and review commercial contracts, including agreements such as divestiture, licensing, supply, development, sourcing, quality, clinical trial, technology service, distribution, consulting, and confidentiality and other business and legal documents and interact with the business units in connection with the respective agreements.
  • Advise management of potential risks in contractual, financial and legal areas and propose risk mitigation strategies.
  • Assure compliance with international, federal, state and local laws and regulations applicable to the company’s operations and activities.
  • Assist Vice President, General Counsel TGO – Americas in implementing, improving and reviewing legal processes and procedures.

Your experience and qualifications

  • JD degree from an ABA accredited school
  • A minimum of 5 years of practice in transactional/contract law required, preferably with pharma experience
  • Must be a member in good standing of a state bar, preferably New Jersey

  • Demonstrated ability to analyze legal documents and spot relevant issues with respect to the particular matter at hand.  
  • Demonstrated ability to conceptualize how certain issues relate to one another and how those issues may impact the overall analysis of a particular matter.

  • Demonstrated ability to capably define problems, collect data, establish facts, and draw valid conclusions and then establish creative solutions to satisfy the needs of the business.

 

Organizational Skill

  • Excellent organizational skills with high attention to detail.
  • Demonstrated ability to multi-task and meet deadlines.
  • Demonstrated ability to work independently as well as in a team setting.

 

Interpersonal

  • Must be skilled in interpersonal and professional communication within the company as well as various external sources to communicate assertively and collaboratively with multiple parties.

 

Communications

  • Excellent command of the English language, both verbal and written. Demonstrate effective communication with all levels of the organizations; clients, internal and external counsel, customers; vendors and contractors; and local, state, regional and federal agencies.
  • Effective in written communications.  Writing style is informative while being concise and easy to understand.  Writing is thorough and comprehensive where it needs to be but also includes summaries where appropriate.
  • Demonstrated ability to develop tracking and status reports structured professionally for presentation to director level personnel in other departments.

Compensation Data

The annual starting salary for this position is between $160,000 – $210,000 annually.  Factors which may affect starting salary within this range and level of role may include geography/market, skills, education, experience and other qualifications of the successful candidate.
