A Brief Overview
This hybrid role, based in Dublin, CA, for a Senior Corporate Counsel, Corporate Securities and Acquisitions, works on a wide variety of corporate legal transactions, with an emphasis on corporate securities, M&A, finance, public company board support, corporate governance, domestic and international subsidiary management and licensing, and other extraordinary transactions. The role reports directly to our Deputy General Counsel and works closely with our Chief Legal Officer, board members, senior and executive staff and other internal stakeholders across many departments. The role will involve corporate governance, corporate securities and other traditional corporate law matters. This role will also support front-line management of extraordinary transactions as well as efforts to enhance TriNet's transactional processes. With respect to extraordinary transactions, the role includes drafting, reviewing, and negotiating the key documents, performing and managing due diligence, managing outside counsel, facilitating closings and requisite filings and disclosures, managing projects to a budget, and in respect of acquisitions, leading post-closing integration. The role provides an opportunity for exposure to our board and board committees, as well as to a variety of interesting and complex regulatory and compliance matters outside of the traditional corporate legal role. The ideal candidate will have a traditional corporate legal skillset, but with an interest in opportunities to develop a broader skillset across varying corporate legal matters. The role requires substantial experience across a variety of M&A, finance and other extraordinary corporate transactions, as well as proficient and current knowledge of SEC and NYSE rules, state and federal corporate law. Some familiarity with international and cross border corporate matters would be helpful.
What you will do
- Manage preparation of and ensure completion of public company filings with the SEC and NYSE.
- Assist with, and manage, corporate governance matters, including Board and Committee support, ESG initiatives and other key corporate initiatives.
- Manage subsidiary governance, corporate tax and finance matters, including compliance initiatives, tax planning initiatives and other efforts.
- Partner with Finance, Treasury, Corporate and Business Development, Tax, HR and across other Legal and Business teams on a variety of projects and compliance processes.
- Manages cross-functional legal experts to execute transactions, including managing deal processes, performing due diligence, negotiating definitive documentation, manage regulatory filings, closing deals, leading legal integration and supporting legal entity rationalization.
- Support M&A, corporate transactions, and complex strategic initiatives.
- Support post-closing integration.
- Coordinate and manage outside counsel.
- Proven background on corporate, M&A and securities law in the context of public companies.
- Provide general corporate legal support and assist with other corporate and securities matters as necessary.
- Exercise sound legal judgment and act as a key partner for internal business stakeholders; act independently and prioritize tasks while considering relevant risk, business, and objectives.
