Job Title: Senior Corporate Paralegal
Location: Remote
The Position:
Everfox is a provider of commercial products and services to the Federal government, foreign governments and commercial customers. We are seeking a seasoned Corporate Paralegal to join our dynamic Legal, Contracts, and Compliance team. This role offers an unparalleled opportunity to influence our operations and make an impact from day one.
What You'll be Doing:
Legal Entity Mangement & Corporate Governance
Spearhead legal entity maintenance tasks such as US state-level filings, drafting corporate documents (e.g., resolutions, written consents, and officer certificates); onboarding and integrating newly acquired/created legal entities.
Handling requests for legal entity support, including: completing ultimate beneficial owner (UBO) and know-your-customer (KYC) forms; advising on signing authority questions; securing apostilles/notarization; and drafting routine corporate documents.
Maintaining filing deadline calendars and other resource documents for global legal department.
Board Meetings
Assisting in creating board meeting materials including agendas and minutes.
Engaging with senior management directly for board meeting preparations.
Overseeing distribution of materials for Board of Directors meetings.
General Corporate
Managing legal billing matters.
Coordinating service of process and litigation-related holds.
Managing certain legal department functions such as the NDA process.
Supporting contracting activity.
Required Education, Experience and Skills
Bachelor’s Degree required; certification from accredited paralegal program preferred
Minimum of ten years of legal experience as a corporate paralegal with a large law firm or in-house experience
Exceptional organizational skills with proven project management prowess.
A keen eye for detail and demonstrated ability to produce reliably error-free work product
Ability to manage multiple priorities effectively while maintaining high-quality standards.
Excellent interpersonal and communications skills, including ability to be professional, efficient, and thoughtful in both in-person settings and in written materials (emails, chats, written work product)
Desired Skills and Qualifications:
Previous inhouse corporate paralegal experience preferred.
Working familiarity with Delaware corporate law preferred.
Notary public license preferred.

The actual salary offered may vary within the range based on a candidates' unique experience, locale, and business needs.
