Key Responsibilities

  • Assist with materials for Company Board and Committee meetings, including preparing agendas, resolutions, meeting minutes, and written consents.
  • Support securities law compliance and SEC reporting, including the preparation and filing of Form 10-K, Form 10-Q, Form 8-K, proxy statement, Section 16, and other public company and regulatory filings.
  • Prepare, process, and maintain statutory and regulatory filings and records to maintain existence and good standing for foreign & domestic legal entities.
  • Maintain minute books and corporate records for the same.
  • Assist with mergers, acquisitions, financing, and other corporate transactions, including coordination of due diligence and data rooms, project management, and assisting with closings.
  • Proactively collaborate with legal department and HR, finance, tax, and treasury functions.
  • Document intercompany transactions (international and domestic), such as capital contributions, distributions, share exchanges, reorganizations, and dividends.
  • Lead or assist the legal team's efforts in the preparation, implementation, and refinement of forms, processes, and procedures.
  • Perform other miscellaneous assignments or duties as needed, such as assisting with administrative tasks, special projects, and general corporate record housekeeping.

 

Required Knowledge, Skills, and Abilities

  • Strong commitment to ethics and integrity and an ability to maintain the highest level of confidentiality.
  • Prior in-house experience.
  • Strong organization skills, detail orientation, ability to multi-task, and can-do attitude.
  • Proficiency with Diligent or equivalent software, strongly preferred.
  • Strong experience in ActiveDisclosureSM and EDGAR software.
  • Flexibility and willingness to work extended hours from time to time (e.g., on weekends in advance of Board meetings or coordinating international activities).

 

Required Qualifications

  • Bachelor’s Degree: paralegal certificate preferred.
  • 6+ years of experience performing the responsibilities listed above.
