Job Description
Deputy, General Counsel oversees the legal aspects of Nearmap within the North America region, while supporting the broader business where required. Be part of the driving forcing in promoting a strong culture of integrity and help to support the business in its US growth acceleration.
Key Responsibilities:
- Mentor and actively manage team of two attorneys and one paralegal in day-to-day operations in support of business objectives
- Draft, review, negotiate and provide legal advice on a high volume of external-facing sales contracts ranging from standard SaaS licensing terms, partnership arrangements and to complex AI licensing terms
- Advise Global GC and NA Leadership team on legal risks and legal liabilities while suggesting creative recommendations to solve commercial issues
- Attending to legal-related customer support requests and enquiries
- Supporting global legal function in AUS with strategic projects
- Working alongside other departments within the company where necessary to resolve legal issues and minimise legal risks
- Collaborate with other departments and establish working relationships to increase efficiency of the legal department
- Provide training to the sales teams in understanding the legal position and risk exposure in commercial contracts
- Provide training to relevant departments and rolling out compliance initiatives across the company
- Stay abreast of legal developments affecting the company, its clients, and industries and synthesize the information to incorporate it into company’s transactional practices
- Participate with senior stakeholders to understand Nearmap’s business strategies and needs to maximise value
- Overseeing product development, providing IP guidance and managing GTM projects for those products
- Overseeing ongoing implementation of corporate governance and compliance frameworks (e.g. Business Continuity, Cyber Security, Privacy and Modern Slavery) in conjunction with Global General Counsel
- Assisting the Global General Counsel with strategic and corporate work as needed, including M&A transactions
- Liaise with internal and external stakeholders
- Organises team workloads, assigns projects and manages resources and results
- Supervise external lawyers handling corporate and legal work for Nearmap
Qualifications
- JD degree or equivalent degree
- Admitted to the bar and in good standing or otherwise authorized to practice law such as being registered as an in-house in the state in which the position is located
- Minimum 10 years post-admission experience - mostly in-house SaaS or PE backed software company
- Must have experience in general corporate and commercial contracts
- Experienced in drafting and negotiating a variety of commercial contracts
- Experience managing
- Broad commercial and corporate law knowledge
- Understanding of and interest in technology, AI/ML and aspects of GIS
- Adept at building partnerships and working collaborately with others to meet shared objectives and goals
- Able to handle matters with minimal supervision, work under pressure and prioritize workload
- Adept at learning quickly, applying insights from past efforts to new situations
- Strong commercial and interpersonal skills
- Well-developed oral and written communication skills
- Strong time management, prioritisation, and organisational skills
- Ability to apply judgment to broaden influence
- Basic understanding of intellectual property issues as they apply to SaaS provider
- Team-building skills, and ability to work with teams and foster group cohesion
- High level of attention to detail
- Being proactive, organised and resourceful
- Able to work autonomously but know when to escalate matters
- Solid business judgment, including the ability to anticipate and analyse impact and consequences of decisions/initiative and recommendations
