Job Description
Experian is seeking an attorney to become part of a team building the new Experian Data Quality division that is high-growth and entrepreneurial. Our new team member may work remotely or if desired in a local Experian office and has a passion for learning, both as a lawyer and more generally as a business professional.
The ideal candidate has experience working with complex agreements for sophisticated clients in a variety of industries and public sector, including telecom, financial services, fintech, and technology. The position will provide you the opportunity to negotiate contracts directly with Experian’s business clients, requiring in-depth work with and understanding of agreements for a variety of products and services, , including credit and marketing data services, SaaS, licensed software, consulting, professional services, and analytics. The agreements are varied and may include professional services agreements, RFPs, RFQs, NDAs, evaluation agreements, standard terms and conditions, service level agreements, and master services agreements. What you’ll be doing:
- As a front-line negotiator and business partner, you will find creative solutions that meet both Experian’s and its clients’ business and compliance needs and ensure that contracts comply with Experian policies and business practices, and regulatory requirements.
- This position requires coordination with various stakeholders and subject matter experts in various roles, including information security, internal and regulatory compliance, sales, product marketing, corporate legal, and finance to help drive transactions to successful completion within the required (and oftentimes aggressive) time frame.
- You will also maintain and enforce contracting policies, which will involve obtaining and documenting approvals for non-standard terms and pricing, assisting sales teams with on-going administration of client contracts, advising management on contractual terms and risks, and providing training to sales and other departments on contract issues and negotiation strategies.
- Using your judgment and discretion to make sound decisions quickly to facilitate deal execution while minimizing risk to Experian’s interests.
Qualifications
What your background looks like:
- JD from an accredited law school; admission to the bar of any state.
- 2-5+ years of legal experience, preferably as member of in-house legal department or contracts department.
- High level of comfort in a large, complex business environment in support of a sales-focused organization, interacting directly with business and technical colleagues and executive leadership to provide succinct, results-oriented advice in connection with contract terms and business policies/practices.
- Excellent contract drafting skills and ability to lead a contract negotiation, understanding how to balance key risks and opportunities to reach a mutually acceptable agreement while maintaining a professional decorum and fostering strong internal and external relationships, including leading calls with clients during contract negotiations.
- Direct experience negotiating critical contract terms, such as Limitations of Liability, Indemnification, Warranties, Termination, Data Security, and Confidentiality.
- Experience aligning contract terms to meet revenue recognition requirements and accounting rules for various types of services, including software and custom development projects.
- Excellent and advanced Microsoft Word skills, prior experience using Microsoft Excel and PowerPoint, proficiency with Adobe products (PDFs and Adobe Sign).
