Purpose:

The Deputy General Counsel (DGC) reports to the General Counsel (GC) and is responsible for supporting the GC in all matters, including management of the Legal Team, Corporate and Board governance, transaction, compliance, SEC, System Matters, Management and Budgeting, and, most importantly, providing legal advice to all internal Bank clients, as needed.  The DGC also provides general oversight and cost-effective management of outside counsel on issues requiring external legal resources, including coordinating and managing input to business leaders.

Today, the DGC is primarily responsible for matters involving secured lending, letters of credit, collateral, mortgage servicing, capital markets, investments and other business operations, and may also be asked to support the Bank with respect to employment matters.

The following list of “specific responsibilities” is intended to describe the general nature and level of work being performed by the DGC. Specific Responsibilities:

  • Advises Senior Management and Board of Directors on statutory and regulatory requirements and current Finance Agency guidance.

  • Renders opinions on legal matters affecting the Bank's operations, including working with senior management on possible legal, regulatory, and federal policy changes that might impact the Bank.

  • Directly manages other attorneys in the Legal Department as directed by the General Counsel, including the delegation and monitoring of workloads, personal and professional development, cross-training, and other matters.

  • Consults with and advises business unit managers on legal issues affecting AHP/CID projects, member services and membership.

  • Lead counsel for loan transactions, letters of credit, collateral, MPP, investments and other business operations.

  • Together with the General Counsel, the DGC will represent the Bank with the Federal Housing Finance Agency, the SEC, and other regulators, as requested.

  • Working with other business units across the Bank and coordinating with the Corporate Secretary, the DGC may suggest establishing or changing policies and procedures.
