Job Title: Vice President of Legal

Compensation: $170,000 to $200,000

We are seeking a dynamic and strategic Vice President of Legal to lead our legal team and provide comprehensive legal support to our digital consultancy operations. The VP of Legal will play a pivotal role in overseeing contract negotiations, managing legal risks, and ensuring compliance with relevant laws and regulations.

Responsibilities:

  • Provide strategic guidance and direction to the legal team, aligning legal initiatives with the company's overall business objectives and risk management strategies.
  • Lead and oversee contract negotiations with employees, clients, vendors, partners, and subcontractors, ensuring favorable terms and compliance with company policies and legal requirements.
  • Anticipate, identify, assess, and mitigate legal risks associated with client engagements, projects, and business operations, proactively implementing measures to protect the company's interests.
  • Recruit, mentor, and develop a high-performing legal team, fostering a culture of collaboration, innovation, and continuous learning to support the company's growth and success.
  • Ensure compliance with relevant laws, regulations, industry standards, and contractual obligations, including employment laws, corporate laws, data privacy laws, intellectual property rights, and client confidentiality and contractual requirements.
  • In partnership with our outside legal firms, provide timely and practical legal advice and counsel to executive management, project teams, and other stakeholders on a wide range of legal issues affecting the company's operations and client engagements.
  • Manage corporate governance matters, including business registration, board meeting minutes, governance policies, and compliance with corporate formalities, in collaboration with the executive leadership team.
  • Oversee the protection and management of intellectual property assets, including trademarks, copyrights, patents, and trade secrets, to safeguard the company's proprietary technologies and innovations.
  • Manage and resolve legal disputes and claims arising from client engagements, contractual agreements, or business operations, utilizing negotiation, mediation, arbitration, and litigation strategies as necessary.
  • Develop and optimize legal processes, systems, and workflows to enhance efficiency, productivity, and scalability within the legal department and across the organization.
  • Lead and manage legal due diligence in M&A transactions.

Experience:

  • Juris Doctor (JD) degree from an accredited law school and admission to the bar in   one of the U.S. jurisdiction above in which work will be performed and, if outside of Colorado, the ability to be admitted to the Colorado bar as a single-client counsel 
  • Proven experience practicing law, with a focus on commercial contracts, advertising technology transactions, and digital consulting services, within the adtech space preferred
  • Prior experience in a leadership role within a legal department or law firm, preferably in a corporate or professional services environment.
  • Demonstrated expertise in negotiating and drafting a variety of complex commercial agreements, including master services agreements, statement of work, and consulting contracts.
  • Strong understanding of advertising technology law, data privacy regulations, intellectual property rights, and contract law principles applicable to digital consultancy services.
  • Excellent communication, negotiation, and interpersonal skills, with the ability to effectively collaborate with cross-func
