The American Heart Association has an excellent opportunity for a National Governance Director based out of our National Center office located in Dallas, TX!

 

This position will work in a hybrid setting (in office 2 to 3 days a week) in our Dallas office.

Responsibilities

 

  • Plans and executes the operations of the American Heart Association Corporate Secretary function.
  • Plans and executes activities of the national American Heart Association Board of Directors and 40+ national committees, ensuring that the Board and its committees are properly constituted, and all activities align with the governing documents and governance processes and procedures of the Association.
  • Works closely with the Corporate Secretary, Chief Executive Officer, Chief Administrative Officer, and General Counsel in planning and executing the operations of the Corporate Secretary function.
  • Plans and executes activities for the national American Heart Association Board of Directors, Executive Committee, Governance Committee and Awards Subcommittee.
  • Plans national American Heart Association Board and committee meetings; prepares meeting notices, meeting agendas and other communications; prepares materials required for Board and committee meetings; and ensures timely delivery of materials to Board and committee members.
  • Prepares minutes of national American Heart Association Board and committee meetings in a manner that describes the depth to which material issues were evaluated and that reflects the presence of dissenting views and votes, if any.
  • Facilitates the orientation of new Board officers and directors and ongoing Board member training and development.
  • Provides guidance and oversight to Board committee staff leaders and support staff.
  • Plans and executes the annual process to nominate and select volunteers for the national Board of Directors, national Board and committee chairperson and membership positions, and national volunteer awards.
  • Maintains the Association corporate organizational documents and minutes.
  • Reviews, analyzes, and ensures that the Association governance processes align with the Association certificate of incorporation, bylaws, policies and operational procedures.
  • Plans and executes periodic audits of the Association bylaws, policies, and operational procedures by appropriate stakeholders.
  • Plans and executes periodic updates of national Board committee commissions.
  • Plans and executes the annual Association relationship disclosure process for national Association Board and committee members.
  • Researches, develops, and maintains best practices for the Corporate Secretary function.
  • Works closely with the Corporate Secretary, Chief Executive Officer, Chief Administrative Officer, and General Counsel in designing, implementing, and executing the operations of the Corporate Secretary function.

Qualifications

  • Bachelor’s Degree or equivalent work experience.
  • At least five (5) years of proven experience.
  • Requires advanced knowledge of the job area, American Heart Association operations, and national volunteer processes and procedures, all of which are typically obtained through advanced education combined with experience working at the Association.
  • Practical project management skills are key.
  • Ability to interact effectively with executive leadership.
