Job Description
Experian Is looking for an Associate General Counsel, reporting to the Commercial Contracts Counsel Director, to become part of a team building the new Experian Employer Services division. Our new team member may work remotely or, if desired, in a local Experian office.
You will have experience working with complex agreements for clients in multiple industries and the public sector, with a focus on contracting with human resources, payroll, and tax departments of such clients. You will negotiate contracts directly with Experian's business clients, requiring in-depth work with and understanding of agreements for a variety of products and services, with an emphasis on employer services, including verifications, unemployment claims, and tax credits and incentives. The agreements are varied and may include professional services agreements, RFPs, RFQs, NDAs, evaluation agreements, standard terms and conditions, service level agreements, and master services agreements. - As a negotiator and partner, you will find creative solutions that meet Experian's and its clients' business and compliance needs and ensure that contracts comply with Experian policies, business practices, and regulatory requirements.
- We ask that you coordinate with multiple team members and subject matter experts in different roles, including information security, internal and regulatory compliance, sales, product marketing, corporate legal, and finance, to help bring transactions to successful completion within the required time frame.
- You will also maintain and enforce contracting policies, which will involve obtaining and documenting approvals for non-standard terms and pricing, assisting sales teams with the ongoing administration of client contracts, advising management on contractual terms and risks, and providing training to sales and other departments on contract issues and negotiation strategies.
- Use your judgment to quickly facilitate deal execution while minimizing risk to Experian's interests.
Qualifications
- JD from an accredited law school; admission to the bar of any state.
- 2+ years of experience as a member of an in-house legal department or contracts department.
- High level of comfort to support a sales-focused organization, working directly with business, technical colleagues, and executive leadership to provide succinct advice in connection with contract terms and business practices.
- Advanced Microsoft Word skills; prior experience using Microsoft Excel (can perform complex functions) and PowerPoint, and proficiency with Adobe products (PDFs and Adobe Sign).
- Excellent contract drafting skills and contract negotiation, understanding how to balance risks and opportunities to reach a mutually acceptable agreement while maintaining professional decorum and promoting internal and external relationships, including leading calls with clients during contract negotiations.
- Direct experience negotiating critical contract terms, such as Limitations of Liability, Indemnification, Warranties, Termination, Data Security, and Confidentiality in end-user agreements, requests for proposal (RFPs), requests for quote (RFQs), and non-disclosure agreements (NDAs).
- Experience aligning contract terms to meet revenue recognition requirements and accounting rules for several types of services, including software and custom development projects.
- Excellent contract drafting and negotiation skills, understanding how to balance important risks and opportunities to reach a mutually acceptable agreement while maintaining professional decorum and encouraging internal and external relationships, including leading calls with clients during contract negotiations.
