JOB TITLE: Corporate Counsel
JOB SUMMARY
The Corporate Counsel is responsible for managing various legal matters for Terumo Blood and Cell Technologies, with a focus on commercial contracting. The Corporate Counsel will provide legal support and advice to Terumo Blood and Cell Technologies’ management and various internal business functions and provide the business with effective advice on company strategies and their implementation while ensuring adherence to state, federal, and international laws and regulations.
ESSENTIAL DUTIES
- Prepares, drafts, reviews, negotiates and modifies a wide variety of commercial contracts and other documents with legal significance, including but not limited to, sales and service, software license, SaaS, procurement, consulting, business development, clinical trial and support, and confidentiality agreements.
- Identifies, researches and provides advice on complex legal and commercial compliance issues and develops resolutions to identified issues.
- Exercises considerable judgment in identification of risks and proposals of alternative solutions to mitigate risks involved in potential transactions.
- Assists on strategic transactions and other mission critical initiatives.
- Identifies the need for, initiates and develops legal or commercial compliance policies and training programs.
- Collaborates with regulatory affairs teams to navigate complex regulatory environments and obtain necessary approvals for product development and commercialization.
- Assists in the preparation and maintenance of corporate records for various TBCT entities worldwide.
- Stays current on developments in applicable laws, regulations and industry codes of ethics and practices.
- Interprets laws, rulings and regulations for the company and recommends appropriate changes or actions.
- Assists in the coordination and oversight of paralegals and other legal support staff.
- Assists in managing any legal disputes or litigation matters, including supervising the work of outside counsel.
- Performs other job-related duties as required.
MINIMUM QUALIFICATION REQUIREMENTS
Education
Requires completion of a Juris Doctor Degree from an accredited law school and practical experience.
Experience
Minimum 4 years’ experience; prior in-house legal experience strongly preferred.

- Excellent contract negotiation, drafting, and analytical skills
- Ability to quickly build trust and establish and maintain collaborative working relationships with internal clients.
- Exceptional written and oral communication skills, effective communication with legal and non-legal audiences
- Self-starter, skilled at working independently and driving matters to conclusion with little supervision, while coordinating with other attorneys, paralegals and administrative staff
- Basic understanding of FDA regulations, U.S. health care compliance, data privacy, and global anti-corruption and anti-bribery laws and regulations (e.g., FCPA, Stark and Anti-Kickback).
- Ability to organize, prioritize and meet deadlines in a fast and demanding work environment.
- Knowledge and use of relevant PC software applications and skills to use them effectively.
- Creative problem solver with proven ability to create practical solutions, build efficient processes and make sound decisions.
- Sense of humor a must

Licensed to practice law in at least one jurisdiction in the United States with eligibility to obtain a license to practice law in the state of Colorado using the single client license.
