YOUR ROLE
The Deputy General Counsel is responsible for leading and mentoring a team of legal professionals and will report directly to the Company’s General Counsel. You will be responsible for providing a broad range of legal support services covering a robust range of topics, including general business counseling, customer and vendor contracting (including drafting, reviewing and negotiating contracts, as well as managing the contract life cycle), regulatory research, analysis and advice, privacy and information security, corporate governance, employment, and litigation management. You will participate in, and provide legal support to, all aspects of the business (compliance, clinical, operations, finance, analytics, talent, corporate development, etc.).
PRIMARY FUNCTIONS
- Serve as a strategic partner and influential contributor to the Evergreen leadership team, facilitating and driving decision-making in complex legal matters.
- Partner closely with the Company’s compliance officer to manage risk to the organization and optimize compliance functions.
- Manage and optimize corporate governance and legal entity structural integrity, displaying an in depth knowledge of business organizations and the laws governing their creation and maintenance.
- Identify and lead legal and compliance department process creation and improvement.
- Draft and negotiate managed care contracts, including provider agreements, value-based risk contracts, administrative services agreements, management agreements, and others.
- Educate and coordinate company officers and employees regarding regulatory rules and responsibilities, including but not limited to HIPAA compliance, state licensure requirements, and federal healthcare program participation.
- Act as a resource and thought leader on the interpretation of existing and proposed laws and regulations that could impact Evergreen’s existing and prospective operations, including but not limited to the CMS Kidney Care Choices model (or other similar innovation model) and its progeny and federal anti-fraud and abuse laws.
- Draft, review, and negotiate vendor and services agreements to support company initiatives.
- Advise the company on employment-related matters and develop best practices for talent and performance management.
- Provide counsel and oversight for litigation matters, selecting and supervising outside counsel, judging the merits of potential litigation, and approving settlements of disputes, if warranted.
- Regular and reliable attendance.
