The Opportunity:
We are looking for a highly organized and detail oriented Commercial Contracts Adminstrator who will be esponsible for administrating all aspects of contracts, including preparing, revising, negotiating, examining, and redlining documents. Contracts will involve the sale of products and services. The Commerical Contracts Administrator will assist in legal policy and procedure processes, as well as training and maintaining attendance archives. This hybrid position is based out of our Concord, MA office.
Key Responsibilities:
- Ability to read, interpret and analyse commercial contracts and legal documents (including reviewing commercial terms, applying Battle of the Forms and UCC principles)
- Work independently on contract reviews - drafting, reviewing, and negotiating sale of goods and services contracts. Ability to redline contracts and issue spot, addressing both legal and business concerns.
- Assist sales team with reviewing terms and conditions for bids, proposals (RFPs and RFQs) and satisfying all “response by” dates
- Handle all day-to-day matters for the legal department, addressing legal queries received from the business in real-time. Escalating necessary issues to US legal counsel.
- Analyse whether to use Battle of the Forms for a sale per the internal Delegation of Authority
- Draft Special Terms and Conditions for sales contracts as required
- Accuracy, attention to detail and proof reading of legal documents, certificates etc.
- Draft, review and negotiate Nondisclosure Agreements (NDAs) and other commercial contracts such as consultancy agreements, novation agreements, termination agreements, and maintain a NDA database.
- Gather and maintain up to date records of all certificates of insurance (COIs) for sales inquiries
- Draft legal and compliance policy and procedure/processes for the legal department and assist in developing and maintaining template standard documents.
- Provide compliance, policy and procedure training to sales teams and other personnel and maintaining attendance archives
- Obtain the necessary approvals for contracts in line with the internal Delegation of Authority, and maintain files and ensure documents get fully executed and filed in the legal department’s document management system
About YOU:
The right candidate will have a deep understanding of contracts, contract governance, contractual language, and the contract lifecycle , with a Bachelor’s Degree in a relevant field (a background in Law a significant advantage). Paralegal, Certified Contract Management (CCM) (or other contract management certification), or J.D. desired and 5+ years’ experience drafting and evaluating contractual documents, preferably in a commercial sales business.
