Senior Paralegal (Hybrid, Seattle)

Job Description

We are looking for an experienced corporate paralegal to join our legal team and provide support on corporate and transactional matters. The ideal candidate is motivated, inquisitive, collaborative, organized and committed to providing outstanding service every day.

A day in the life…

• Independently overseeing Company and subsidiary management including maintaining minute books, drafting resolutions, preparing and filing state qualifications, and preparing and filing merger/dissolution documents. 
• Assisting the Corporate Secretary function with the management of corporate governance documents, including meeting minutes and corporate policies. 
• Assisting with the preparation of the Board of Directors’ calendar and agenda, and with the preparation of materials for meetings of the Board.  
• Assisting with recordkeeping, contract management, and legal research on a variety of topics as needed.
• Assisting members of the Legal department, along with members of the Tax, Treasury, and Corporate Development functions with transactional matters, including subsidiary capital contributions, divided payments, strategic investments, and credit arrangements. 
• Assisting the Corporate Secretary function with management of shareholder ledger and related matters. 
• Assisting with inquiries from former shareholders.

• Excellent written/oral communication skills and a collaborative outlook. 
• Confidence in communicating directly with senior leaders of the Company.
• Well organized, strong attention to detail, able to identify and prioritize tasks and successfully manage multiple projects.
• Proactive, takes initiative, has a positive attitude, high engagement, and strong intellectual curiosity and desire to learn.
• Strong proficiency with Microsoft Office products and internet research.
• 5+ years of experience as a corporate paralegal, including time spent within a law firm or in-house at a public company. 
• Paralegal certificate or equivalent education.

Pay Range Details

The pay range(s) below are provided in compliance with state specific laws. Pay ranges may be different in other locations.

Washington: $87,500 - $145,500 Annually

This position may be eligible for performance-based incentives/bonuses. Benefits include 401k, medical/vision/dental/life/disability insurance options, PTO accruals, Holidays, and more.
