Job Summary

We are seeking an experienced and highly motivated corporate finance attorney to join our in-house legal team. The ideal candidate will have significant experience in public and private securities offerings, Securities and Exchange Commission (SEC) periodic and current reporting and derivatives. The ideal candidate will have a strong background in SEC reporting and drafting and negotiating a variety of financing agreements. This role requires an independent, detail-oriented professional capable of managing complex transactions while collaborating with internal and external stakeholders.

Job Description

What You’ll Do:

  • Draft, negotiate, and review a variety of financing agreements, including indentures, note purchase agreements, and syndicated loan agreements.

  • Draft and review registration statements, prospectuses, proxy statements, and other securities-related documents.

  • Assist in the preparation of filings with the SEC and other Federal and State regulatory bodies.

  • Advise business partners on compliance with federal and state securities laws and regulations.

  • Ensure compliance with corporate governance standards and policies.

  • Provide practical, business-focused legal advice and partner with internal business teams to facilitate sound decision-making.

  • Assess, analyze, and mitigate legal risks associated with transactions and advise on risk management strategies.

  • Manage multiple projects and priorities independently while ensuring deadlines and business objectives are met.

Legal Requirements:

  • Solid understanding of public and private financings and key issues to be negotiated.

  • Ability to lead internal discussions on open issues, negotiate agreements with opposing counsel, and work with the Treasury Department regarding same.

  • Solid understanding of public company reporting obligations within a large organization such as AEP.

  • Strong understanding of Securities Act of 1933 and Securities and Exchange Act of 1934.

  • Significant experience with corporate governance and compliance issues.

  • Big picture oriented, yet focus driven, with strong attention to detail.

Communication Skills:

  • Excellent oral and written communication skills.

  • Strong advocacy and negotiation skills.

  • Ability to communicate cross functionally with all business units.

  • Ability to relate to many different constituencies in a positive, proactive manner that will engender confidence from company management, procurement professionals, and attorney colleagues.

  • Problem solver coupled with good conflict resolution skills.

  • Extremely organized, self-starter, and results oriented

On-Site at 1 Riverside Plaza, Columbus, OH

What We’re Looking For:

Senior Counsel (Grade 10) - $132,562 to $172,333

Education Requirements: Juris Doctor (J.D.) degree from an accredited US law school

Experience Requirements: 5+ years of legal experience, preferably in a law firm or corporate legal department.  Admission to practice in one or more states.

Senior Counsel (Grade 11) - $155,761 to $202,491

Education Requirements:  Juris Doctor (J.D.) degree from an accredited US law school.

Work Experience:  7+ years of legal experience, preferably in a law firm or corporate legal department and in the electric utility or energy sector.  Admission to practice in one or more states.
