The base salary range for a Sr. Paralegal-Regulatory & Corporate Governance is $27.00 to $40.00. Actual salaries will vary by geographic location and are based on factors such as candidate’s qualifications, experience, skills, competencies, and company tenure and equity. In addition to base compensation, this role is eligible for an annual incentive plan based on company performance and individual performance.
Sr. Paralegal – Regulatory & Corporate Governance Overview
The Paralegal, Senior – Regulatory & Corporate Governance is responsible for assisting attorneys in handling a variety of legal affairs related to corporate governance. This role may be utilized for the completion of certain company legal work that would otherwise be performed by attorneys.
Essential Duties
- Independently maintains and broadens knowledge of statutory and regulatory requirements for all states in which the company does business.
- Supports the corporate governance process by preparing meeting materials, presentation materials and board resolutions to present to the board of directors and committee.
- Independently prepares mandatory regulatory filings, board and committee minutes, resolutions and communications, and other corporate governance materials.
- Responsible for maintaining and organizing all corporate records and the regulatory filing calendar.
- Facilities the setup of new corporate entities and maintains Corporate organizational charts.
- Manage board and officer administration matters, including maintaining biographies and contact information and assisting with completion of reports or applications required to be completed by the board or executive officers, etc.
- Participate in M&A integration activities and major transactions.
- Research, analyze, compile, synthesize, and document information related to statutes, regulations, and case law and their impact to the business.
- File regulatory licensing applications and respond to document requests from government agencies.
- Contribute to various department and cross-functional process improvement projects and participate in various other Legal & compliance projects and initiatives.
- Coordinate diligence, audit, and other projects as needed.
