Position Summary

The corporate counsel is responsible for working with senior leadership and outside counsel on all corporate legal and regulatory matters while embracing the culture and core tenets that make Vaco a great place to work.

 

Duties & Responsibilities

  • Draft, review, and negotiate commercial agreements across a diverse array of industries.
  • Support organization on corporate transactions as may arise from time to time, including the drafting of merger agreements, equity grant documents.
  • Revise, and amend corporate policies and procedures.
  • Aid in managing internal corporate privacy controls.
  • Provide support for senior leadership around legal entity management and board affairs.
  • Research and interpret anticipated changes in legal field as appropriate.
  • Manage the legal department budget/outside counsel relationships.

Education/Experience:

  • Barred in Ontario (Canada), New York, or California.
  • Experience in cross-border mergers and acquisitions focusing on startups and/or private equity.
  • Willing to relocate to Nashville, TN a plus.

 

Technical Skills:

  • Microsoft Office and Adobe Acrobat experience needed.
  • Experience with SharePoint a plus.

Travel:

<20% -Occasional travel to Vaco office sites.
