The Commercial Counsel is an essential member of the legal and corporate compliance team, responsible for negotiating, drafting and reviewing various agreements on behalf of Spring Health. He or she will assist and partner with the legal team on a daily basis to assist with various contracting functions. The successful candidate must be agile, with a demonstrated ability to pivot and manage a workload properly and timely, and able to work as part of a close-knit team in a fast-paced environment of a highly regulated healthcare company.

Primary Responsibilities for Commercial Counsel: 

  • Draft, review, and negotiate a wide range of contracts in support of Spring Health operations and services (which may include confidentiality agreements, consulting agreements, customer agreements and vendor services agreements).
  • Work closely and partner with Sales, Strategic Alliances, Marketing, and Customer Success teams on transactions that drive the company’s revenue and in support of our mission.
  • Assist Customer Success with client contract administration processes, including handling requests, facilitating notices, tracking renewals, and ensuring appropriate execution of all legal documents.
  • Support various teams in negotiations with vendors.
  • Partner with internal stakeholders and subject matter experts (e.g., privacy, compliance, regulatory, data security, operations, etc.) throughout the contract process from request to execution. Ensure adherence to contract-related policies and procedures and help troubleshoot and resolve contract issues and challenges.
  • Support continuous improvements of forms, policies and processes to help streamline, simplify and automate the contracting processes.

Qualifications for Commercial Counsel:

  • Bar membership in good standing in any US state.
  • 5+ years of legal experience, preferably advising fast-paced health tech or healthcare entities through various stages of growth, either as in-house or external counsel.
  • Experience drafting and reviewing a wide variety of commercial contracts, including NDAs, technology, vendor agreements, and marketing agreements.
  • Ability to expeditiously identify and assess issues, evaluate risk and provide legally sound recommendations consistent with good business practices and reason.
  • Exceptionally strong business acumen and the ability to work effectively and efficiently on multiple projects in a busy work environment, while being a critical (and often autonomous) go-to partner for fellow peers in the company and legal department.
  • Strong sense of ownership and accountability over assigned projects and tasks.
  • High level of integrity, professionalism, intellectual curiosity, and willingness to grow.
  • Exceptional organizational, project management, and prioritization skills.
  • Outstanding written and oral communications skills.
  • Ability to work with a wide variety of people, at all levels in the organization, in a hypergrowth environment.
  • Maintain strict confidentiality of personnel data, proprietary information, and sensitive materials as required.
