Paralegal/Contract Negotiator/Database Administrator

The Team:

The Paralegal/Contract Negotiator will be a member of the S&P Dow Jones Indices (S&P DJI) legal department.  The S&P DJI legal team is comprised of legal and non-legal professionals and supports, among other things, the division’s regulatory and compliance requirements, commercial organization including, sales, marketing, product management, research and development, client support services teams, operations and technology functions and business management/leadership.

The Paralegal/Contract Negotiator is engaged in the fast-paced area of client and vendor contracting, and primarily tasked with providing administration support in the negotiating and drafting of contracts for S&P DJI’s index data and intellectual property licensing business and custom calculation/administration services business.

Responsibilities:

  • Navigate contracts database and other internal systems (e.g., Salesforce) to obtain information on S&P DJI’s contractual relationships; update the database and other internal systems regarding S&P DJI’s contractual relationships from time to time; assist with developing create-a-contract tools for automating contract generation; build out process documentation and implement improved workflows through automation.

  • Liaise with internal and external clients in the contract negotiation process; ensure that sales and business personnel comply with internal policies and procedures.

  • Work with management to create efficiencies in the contracting process.

  • Project manage, lead and/or otherwise participate in ongoing projects for the S&P DJI legal department, including due diligence activities related to acquisitions and divestitures, IP infringement actions and other similar activities.

  • Negotiate and draft various contracts such as data licenses, vendor agreements, confidentiality agreements, consulting agreements, intercompany agreements, amendments, assignments, permission letters, waivers/releases, termination and other contract notices; be well-versed in commonly used alternate provisions and drafting customized contract provisions.

  • Assist with the preparation and filing of corporate secretarial and other documents.

Compensation/Benefits Information: (This section is only applicable to US candidates)

S&P Global states that the anticipated base salary range for this position is $53,898 to $96,049. Final base salary for this role will be based on the individual’s geographic location, as well as experience level, skill set, training, licenses and certifications.

In addition to base compensation, this role is eligible for an annual incentive plan.

What We’re Looking For:

Basic Qualifications:

  • Prior paralegal or business/legal affairs department experience;

  • Working knowledge of contracts and related issues;

  • People oriented, collegial, and comfortable with frequent client-facing interactions (via e-mail, phone, video conference and in-person);

  • Ease with working independently but escalating issues as needed;

  • Motivated self-starter with the ability to learn quickly;

  • Capacity to simultaneously manage multiple priorities/projects/responsibilities;

  • College degree

Additional Preferred Qualifications:

  • Project management skills

  • Some working knowledge of intellectual property issues and the financial services industry/capital markets concepts.

  • Strong verbal/written communication
