Corporate & Securities Legal Intern

OVERVIEW

The Corporate and Securities Legal Intern will support general corporate and securities functions within Zeta’s in-house legal team. The intern will perform general corporate legal work that includes reviewing, drafting and negotiating contracts, along with, as relevant during the time of internship, settling disputes, managing litigation and supporting mergers & acquisitions. The intern will perform securities legal work that includes assisting with preparation and review of ’34 Act filings and related documentation, disclosure research and supporting securities offerings, if any. An interested law student can use this internship to gain substantive learning opportunities to apply legal principles in practice. 

KEY DUTIES AND RESPONSIBILITIES

Corporate:

• Analyze and negotiate contracts (as primary role)
• Assist with disputes and litigation (which will vary depending on the status of any active disputes and litigation)
• Help Zeta’s General Counsel and Senior Corporate Counsel complete mergers and acquisitions (to the degree there is active M&A at the time of internship)

Securities:

• Assist with review and drafting of 10-Q, 8-K, Form 4 & other ’34 Act filings
• Research precedent disclosure for potential updates
• Prepare documentation in connection with any securities issuances and transfers, including instruction letters and in-house counsel opinions

QUALIFICATIONS

• Law student with good grades at an ABA-accredited U.S. law school
• Interest in:
• corporate and securities legal practice
• contracts and negotiations

• Ability to:
• write legal concepts effectively and efficiently
• analyze and research legal issues
• learn new concepts quickly
• meet deadlines
• collaborate with in-person and remote managers and colleagues

SUMMER 2023 INTERNSHIP INFO

• Real-world, hands on experience in the marketing technology industry (80% of work in internship role and 20% of internship with professional development/webinars/activities)
• In-Person in either New York City, San Francisco or Nashville offices (2-3 days in the office)
• June 5th through August 18th (10 weeks)
• $20/hour for up to 40 hours per week
• Weekly lunches and social gatherings in office
• Speaker Series with subject matter experts across Zeta
