About the role

Job Description

The Assistant General Counsel, Finance & Treasury (the “AGC”) is responsible for providing legal support to critical teams across the Company, including by providing support to the Treasury team on financing and banking matters for the Company and its subsidiaries.  The AGC will provide support to other teams including Financial Reporting, Accounting, and Tax teams.  This full-time position reports to the Vice President, Chief Counsel, Finance & Governance and is based in Estero, FL or Atlanta, GA.

Subject to business needs week-to-week, the position is staffed in the office Monday through Thursday and works remotely on Fridays.

By delivering pragmatic, business focused and risk-based legal counsel and guidance in support of key initiatives, this role will play an integral role in executing the company’s strategy to enhance customer loyalty, build brand trust, and drive sustainable growth.

 

What You’ll Do:

  • Support the Treasury team with the assistance of outside counsel on substantially all corporate financing transactions across the Company’s debt and equity capital structure, including multicurrency credit facilities, indentures, letter-of-credit facilities, among other types of debt documentation across unsecured and multilayered lien priorities and collateral types.
  • Support the Treasury team with assistance of outside counsel on the Company’s structured financing programs as well as providing support for new asset-backed securities (“ABS”) issuances which finance the Company’s rental car fleet needs domestically and internationally.
  • Support the Treasury team with interpretation of affirmative and negative covenants across debt documentation with a keen focus on balancing compliance with operating a global business, including thoughtful analysis of credit agreements, indentures, security agreements, guarantees, and other debt documentation.
  • Provide support on legal and compliance aspects of the Company’s cash management operations, including assisting with bank account openings, know-your-customer requests, and intercompany loans, etc.
  • Facilitate the Company’s quarterly debt covenant compliance program as part of maintaining and improving the Company’s overall SOX controls with an evolving capital structure, including preparing annual and quarterly form compliance certificates for the existing credit agreement and indentures for Administrative Agent and Trustee reporting.
  • Provide support to the Treasury team on ISDA agreements and credit support annexes for various hedging programs at the Company, including reviewing The Use of Derivative Procedure and supporting annual Dodd Frank End-User Exemption approval.
  • Translate legal requirements and advice from outside counsel into functional business requirements and assist with implementation by preparing and communicating written and oral summaries, guidance documents, corporate policies, training materials and operations procedures to support legal / regulatory compliance and mitigate risk.
  • Efficiently manage outside counsel billing and other invoicing, using the Legal Department’s matter management and bill paying technology tools.
  • Deliver business-oriented legal counsel in a timely, positive, collaborative, and constructive manner.
  • Assist with other matters as needed.
  • Be a vocal advocate and champion for Hertz’s culture of adhering to strong ethical standards.

 

What We’re Looking For:

  • J.D. with strong academic credentials.
  • Required to be admitted to the bar and in good standing in Florida, Georgia, or admitted to the bar and in good standing in another jurisdiction and eligible for Florida or Georgia in-house counsel certificates, as applicable.
  • 8 or more years of experience from an AM ranked law firm, corporate legal department, or government supporting the treasury operations of a public company.  Ideally, experience from a combination of law firm and in house corporate legal department supporting a comparable public company treasury legal function.
  • Demonstrated knowledge and experience with respect to corporate finance and large financing transactions ideally with public companies.
  • Proven experience reviewing, interpreting, and advising on affirmative and negative covenants across varying debt documentation, including regarding multi-priority secured and unsecured debt.
  • Solid experience with structured financing concepts or otherwise strong ability, desire, and curiosity to learn and understand structured financing programs unique to the rental car business.
  • Excellent oral and written communication skills; ability to communicate across sophistication levels, including non-lawyers.  Strong executive presence skills are a plus.
