About the role
ROLE OVERVIEW The Senior Counsel, in collaboration with the Office of the Chief Legal Officer and designated Senior Counsel, will be responsible for creating, implementing, driving, and maintaining the legal priorities and strategy for the company to support the title, finance, strategic partnership, development, and construction departments across the company as directed by the Managing Senior Counsel. They will review, draft, lead negotiations, and manage complex real estate, development, and construction transactions, and applicable agreements and be willing to perform general corporate legal tasks. The ideal candidate should have experience managing and growing a team be comfortable with ambiguity and have a willingness to build, experiment, and iterate when the path forward is undefined. Most importantly, the ideal candidate is kind and thoughtful in his/her interactions with others. He/she is honest and values integrity, kind, and willing to learn and improve every day. PRIMARY RESPONSIBILITIES
- Title
- Build and manage a small team of title analysts
- Responsible for title team implementation of processes and procedures
- Set title department objectives, timelines, and deliverable requirements
- Guide the development and title teams at various stages of the development cycle, including reviewing title reports and curing title defects, issuing title policy with endorsements, project closings, negotiating financier transaction terms, and negotiating ancillary development contracts
- Guide financiers and title companies through Pivot’s framework for title work
- Maintain the integrity of title department files, including templates, reference documents, trackers, and other relevant department materials
- Provide legal support for all title matters
- Project Development (Real Estate, Permitting and Environmental Review)
- Support project acquisition and finance teams’ due diligence review of all real estate matters including review of leases, easements, interconnection, and other ancillary documents
- Provide legal guidance on regulatory compliance and permitting for project development initiatives
- Support the development teams in initial permitting/zoning matters and resolution of permitting matters for financing projects.
- Provide legal support for environmental matters
- Construction
- Drafting and negotiating transaction documents for Engineering, Procurement and Construction (EPC) services
- Review bonding, lien waivers, and insurance requirements
- Drafting and negotiating master service agreements, engineering agreements, subcontractor and supply agreements, and other commercial contracting and project finance documents
- Lead third-party diligence activities, including coordinating responses to questions and information requests
- Legal Affairs
- Perform other responsibilities assigned by the managing Senior Counsel
- Stay up to date with laws and regulations in order to provide competent legal support to the various teams
REQUIRED COMPETENCIES
- J.D. from an ABA-accredited law school
- Admitted to practice law in at least one state
- 5+ years of relevant legal experience handling land development, title, permitting, environmental, structured and project finance transactions, preferably in the renewable energy, electric utility, real estate or oil and gas industries
- Relevant experience handling construction transactions or the willingness to learn
- Excellent analytical and research skills; highly proficient in Microsoft Office Suite products
- Strong organizational skills, ability to effectively prioritize tasks, highly detail-oriented
- Ability to multi-task and balance multiple projects and priorities simultaneously
- Excels in a fast-paced environment
- Willingness to work at the Denver office three times a week
- Great team player
PREFERRED COMPETENCIES
- Experience with renewable energy transactions
- Experience working with lenders and lender’s counsel for financing projects
- Experience with commercial real estate, land, permitting, title work, and environmental review
- Experience with construction transactions
- Experience with Smartsheet is a plus
